Governance Explanations

Form 990, Part VI, Section B, line 11B

The Form 990 is prepared with financial data which has been reviewed by the governing board. Internal accounting staff prepare the 990 with the aid of preparation software. Accounting team members individually review the 990 according to a checklist. Numbers are verified against financial statements. The 990 is then reviewed by the Controller, Treasurer, Secretary and President. The draft 990 is distributed to all governing board members for their review prior to filing, leaving adequate time for comments and corrections.

Officers and trustees disclose annually those affiliations which may give rise to a conflict of interest. The Secretary keeps conflict disclosures on file. Trustees consider conflicts or potential conflicts before making grant determinations. Disclosure is made on the record. Officers consult the list of conflicts or potential conflicts when making vendor decisions.

The governing board determines compensation for all officers and staff. In setting compensation, trustees consult two independent compensation studies showing compensation data at comparable organizations. Individual compensation amounts are evaluated and determined annually as part of the budgeting process conducted at the board's March meeting; calendar year 2025 compensation was determined during the March 2025 board meeting.

IRS990/Desc0More than half of the annual funding distributed by the Woodruff Fund was designated to support the programs and facilities of the Winship Cancer Institute at Emory University. Winship is Georgia's only NCI-designated comprehensive cancer center. Woodruff Fund grants were used to recruit and retain faculty for dual appointments at Emory's medical school and the Winship Cancer Institute and to fund significant faculty research projects in cancer prevention, detection and treatment. More than one-third of the funds dedicated to support programs were used to support Winship's clinical trials program. Other significant allocations of program funds were made for information technology and data management, support of Winship's biostatistics and bioinformatics programs, and for supporting Winship's administration, shared resources, and its NCI cancer center support grant. Almost half of the distributions to Winship are allocated to pay for facilities.In March 2024, the Woodruff Fund made a multi-year commitment to fund an extraordinary effort to grow Winship with a focus on improving the patient experience and better aligning research programs with patient care. Consistent with that commitment, the Woodruff Fund agreed to redesignate to the "Bigger, Better Winship" plan some funds previously paid to support Woodruff Health Sciences facilities and to increase distributions from the Woodruff Fund to Emory in future fiscal years. Accomplishments from this investment include hiring new clinical and research faculty, hiring patient navigators to support patient experience, increased digitization of pathology services and reduced patient wait and trial activation times.

Lawrence Gellerstedt III chairs the board of Grady Health System, which is a key business partner for Emory Healthcare and the Woodruff Health Sciences institutions. Executive management of Emory's Woodruff Health Sciences institutions participate actively in all Woodruff Fund board meetings. Control of the Woodruff Fund is structured in a manner to ensure the Woodruff Fund is organized and operated for the benefit of and is supervised or controlled in connection with Emory University and to ensure the Woodruff Fund is responsive to the needs and requirements of the Woodruff Health Sciences institutions and programs.
