“The amended and restated bylaws of the organization state the following with respect to the organization's regular board of directors. All references to the "corporation" in the bylaws language below are to the filing organization, and the cf foundation, inc., mentioned below is another sec. 501(c)(3) organization, ein 58-1743909. "the regular board of directors shall consist of no fewer than seven members and as many as 20 members, either elected or appointed, who shall be selected in the manner prescribed in these bylaws. As many as 50% less one (minority) of the members of the regular board of directors of the corporation can be persons who are appointed by the board of directors of cf foundation, inc.; and all other directors shall be persons who are appointed by the board of directors of the corporation. Members of the regular board of directors of the corporation shall always include the chair of the corporation, together with such other directors as may be appointed from time to time in accordance with these bylaws. The board of directors is authorized to fix the precise number of directors by resolution adopted from time to time by a majority of all the directors then in office. After serving on the board of directors, individuals may be authorized by the board of directors to take the role of board member emeritus, a position which is not included in counting members of the regular board of directors. A board member emeritus may attend the annual meeting and events of interest to him/her but shall have no committee responsibilities." with the respect to the manner of appointment and the term of office, the amended and restated bylaws stipulate that "each director may serve two three-year terms, and if interested can serve a third three-year term after a one-year hiatus on the board of advisors. Each director may take office as of the effective date of his or her appointment and shall continue in office for a term of not more than three years, as determined by the board of directors, and thereafter until his or her successor shall have been elected and qualified or until his or her earlier death, resignation, retirement, disqualification, or removal. The terms of the directors shall be staggered so that the terms of no more than approximately one-third are expiring in any one year." finally, regarding the removal of directors and the vacancies on the board of directors, the amended and restated bylaws provide that "any director appointed by the board of directors of cf foundation, inc. May be removed, either for or without cause, by the board of directors of cf foundation, inc.; and any director elected by the board of directors of the corporation may be removed, either for or without cause, by the board of directors of the corporation. A removed director's successor may be appointed at the same time by the appointing authority, that is, by the board of directors of cf foundation, inc. Or by the board of directors of the corporation, as the case may be." "any vacancy in the board of directors arising at any time and from any cause, including the authorization of an increase in the number of directors, may be filled by the board of directors of cf foundation, inc. Or by the board of directors of the corporation, as the case may be, in accordance with the provisions... [stated above]. Each director so appointed shall hold office until his or her successor has been elected and has qualified, or until his or her earlier death, resignation, retirement, removal, or disqualification."”

“The organization's president and ceo and director of finance and operations review the form 990 prepared by and in consultation with warren averett, our cpas and advisors. The finance and audit committee reviews the form 990 and approves it for further consideration by and review of the board. Once the full board of directors reviews the form 990, it is filed with the irs and other state and regulatory authorities.”
