The full and entire management of the affairs of the foundation are vested in the board of directors who shall and may exercise all the powers that may be exercised or performed by the foundation. However, amendment of the bylaws may be accomplished by a majority vote of the foundation's board only with the approval of the governing body of crisp regional health services, inc., a related organization.

All board members receive a copy of the form 990 before it is filed. If any member has any concerns, they must inform administration. An extensive review is performed by management. The board members perform only a basic review of the return.

The conflict of interest policy is directed not only to directors and officers, but to all employees who can influence the actions of crisp regional hospital development foundation, inc. A conflicting interest may be defined as an interest, direct or indirect, with any persons or firms. It is the policy of the board that the existence of any of the interests shall be disclosed before any transaction is consummated. It shall be the continuing responsibility of the board, officers, and management employees to scrutinize their transactions and outside business interests and relationships for potential conflicts and to immediately make such disclosures. Disclosures of conflicts should be made to the board or a committee thereof, who will determine whether a conflict exists, and in the case of an existing conflict, determine appropriate action. The individual with the conflict of interest is excluded from the discussion and approval of such transactions.

Volunteers are housed at crisp regional hospital ("crh"), the supported entity. They devote their time to foundation activities on an as needed basis. Therefore, the total number of volunteers (with the exception of the volunteer board members) is reported on the hospital's return. The organization recognizes that the board members voluntarily devote their time and energy to serve their community by participating in the governance of this organization's mission.

Coronavirus: as a result of the covid-19 coronavirus pandemic, the foundation has not yet resumed all of its fundraising activities. The outbreak has put an unprecedented strain on the us healthcare system, disrupted or delayed production and delivery of materials and products in the supply chain, and caused staffing shortages.

Crisp regional health services, inc., crisp regional hospital, inc. And crisp regional development foundation, inc. Are not-for-profit corporations that have been recognized as tax-exempt pursuant to section 501(c)(3) of the internal revenue code. Crisp regional hospital portfolio insurance company is exempted from all local income, profit, or capital gains taxes until july 28, 2042 under the cayman islands tax concessions law. The corporations apply accounting policies that prescribe when to recognize and how to measure the financial statement effects of income tax positions taken or expected to be taken on its income tax returns. These rules require management to evaluate the likelihood that, upon examination by the relevant taxing jurisdictions, those income tax positions would be sustained. Based on the evaluation, they only recognize the maximum benefit of each income tax position that is more than 50% likely of being sustained. To the extent that all or a portion of the benefits of an income tax position not recognized, a liability would be recongized for the unrecognized benefits, along with any interest and penalties that would result from disallowance of the position. Should any such penalties and interest be incurred, they would be recognized as operating expenses. Based on the results of management's evaluation, no liability is recognized in the accompanying combined balance sheet for unrecognized income tax positions. Futher, no interest or penalties have been accrued or charged to expense as of june 30, 2024 and 2023 or for the years then ended. The corporations' tax returns are subject to possible examination by the taxing authorities. For federal income tax purposes, the tax returns essentially remain open for possible examination for a period of three years after the respective filing deadlines of those returns.

CRISP REGIONAL HOSPITAL PORTFOLIO INSURANCE COMPANY IS EXEMPTED FROM ALL LOCAL INCOME, PROFIT, OR CAPITAL GAINS TAXES UNTIL JULY 28, 2042 UNDER THE CAYMAN ISLANDS TAX CONCESSIONS LAW. THE CORPORATIONS APPLY ACCOUNTING POLICIES THAT PRESCRIBE WHEN TO RECOGNIZE AND HOW TO MEASURE THE FINANCIAL STATEMENT EFFECTS OF INCOME TAX POSITIONS TAKEN OR EXPECTED TO BE TAKEN ON ITS INCOME TAX RETURNS. THESE RULES REQUIRE MANAGEMENT TO EVALUATE THE LIKELIHOOD THAT, UPON EXAMINATION BY THE RELEVANT TAXING JURISDICTIONS, THOSE INCOME TAX POSITIONS WOULD BE SUSTAINED. BASED ON THE EVALUATION, THEY ONLY RECOGNIZE THE MAXIMUM BENEFIT OF EACH INCOME TAX POSITION THAT IS MORE THAN 50% LIKELY OF BEING SUSTAINED.
