It is then reviewed by the grady health system foundation director of finance, president, and the finance committee of the board. Once all comments and questions on the return are addressed, the form 990 is signed by the president, distributed to the organization's board of directors, and filed with the irs and the state of georgia.”

The conflict of interest policy requires that all management employees and board members reaffirm their lack of conflict of interest by completing a new conflict of interest policy form on an annual basis. The forms are maintained at the grady health system by the compliance officer's office.”

The officers and employees of grady health foundation are compensated by grady memorial hospital corporation, a related 501(c)(3) organization. The board of directors of grady memorial hospital corporation are responsible for reviewing and approving employment contracts and compensation levels for the organization's officers. The process for determining compensation for officers, key employees, and all other employees of the foundation is governed by the hospital's compensation committee charter. The hospital's compensation committee reviews each executive officer's and key employee's performance and determines each employee's salary, incentive pay, and employee benefits. The committee also provides guidance on general compensation practices for all employees of the organization in part by reviewing comparable compensation data from similar organizations. The compensation committee is responsible for establishing and carrying out reasonable compensation practices that guard against possible occurrence of private inurement.”

“The foundation makes its forms 990 available on the same day, if requested in person, or within 30 days if requested via mail, e-mail, facsimile or private delivery to the president's office. Availability of other documents such as our governing documents, conflicts of interest policy, and our financial statements follow the same disclosure policy and the same turnaround times. All of these documents are provided by the foundation to all requesters free of charge and without any explanations of the reasons for the request.”
