Governance Explanations

Part VI Section B Line 11B

The organization provides a copy of the draft 990 to each member of the Board's Finance and Audit Committees for review prior to finalizing the tax forms. The document is refined based upon input from the Finance and Audit Committees and the final document is provided to each member of the Board of Directors prior to submission to the IRS.

Part VI Section B Line 12C

The Executive Assistant to the President/CEO is responsible for obtaining from each Board member annually a signed Conflict of Interest declaration and reports to the President/CEO any conflicts or issues that are noted.

Part VI Section C Line 15

The Board has a Compensation Committee that meets with the President/CEO annually to determine her compensation based on performance. The Senior Vice President of Human Resources provides the committee with comparative data from stations that operate both TV and Radio of comparable size. The committee determines the compensation and records the decision in a letter from the Chairman to the President/CEO and filed with the Senior VP of Human Resources. The same committee also reviews the President/CEO's recommendations regarding the compensation of key employees and makes a decision based on performance and industry comparative salaries. The final decisions of the Compensation Committee are recorded in letters from the President/CEO to each employee and filed with Senior VP of Human Resources.

Part III Line 4

COMMUNITY ENGAGEMENT: WABE conducts community events that are topical, relevant to the news cycle, and designed to engage communities based on the subject matter. These events are a forum for communities to come together and share perspectives, with the goal of overcoming barriers and building greater understanding. At these sessions, through panel discussions and presentations, knowledgeable, divergent views are brought to light about complex topics. During FY24, WABE conducted events featuring the following: Facts & Acts highlighting the region's art sector and workforce development. Coffee Conversations, Political Breakfast and Gold Dome Scramble sharing political views across the spectrum, season 4 of Buried Truths, Making Black America, and The U.S. and the Holocaust.

Part III Line 4

Education: As part of our partnership with the Atlanta Public Schools, WABE continues to bring PBS' educational programming out into the community to motivate and excite students. WABE hosted its annual back-to-school event featuring a live PBS character, providing giveaway backpacks and supplies for attendees. As part of Junior Achievement's 3DE program, WABE coached students through a project-based learning, case study focused on marketing and media tactics. WABE partnered with the Atlanta Science Festival to give younger audiences an opportunity to experience science first-hand through 'Ask a Scientist.' Leveraging PBS Kids content, WABE has led a summer program, "PBS KIDS create & discover labs: Serving Atlanta's westside" which builds school readiness skills and focuses on hands-on STEM learning.

Financial Statement Notes

Part X Line 2

The Organization qualifies as a tax-exempt organization under Section 501(c) (3) of the Internal Revenue Code. Accordingly, no provision for federal or state income taxes has been recorded on the accompanying combined financial statements. In addition, the Organization qualifies for the charitable contribution deduction under Section 170(b)(1)(A) and has been classified as an organization that is not a private foundation under Section 509(a)(2). GAAP requires the Organization's management to evaluate tax positions taken and recognize a tax liability (or asset) if the Organization has taken an uncertain position that more likely than not would not be sustained upon examination by the Internal Revenue Service ("IRS"). The Organization's management has analyzed the tax positions taken and has concluded that, as of June 30, 2024, there are no uncertain positions taken or expected to be taken that would require recognition of a liability (or asset) or disclosure in the combined financial statements. The Organization is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods in progress. In general, the Organization is no longer subject to income tax examinations for tax years ending before June 30, 2021.

This quality programming incudes local news reporting along with nationally produced programming from National Public Radio (NPR) and locally produced shows, Closer Look and City Lights. Closer Look is a daily newsmagazine that functions as a community forum for key leaders, experts, and members of the broader community to share ideas and explore issues on a wide variety of important topics. City Lights is a daily arts and culture program that provides a view into Atlanta's rich creative achievements. Local news reporting is a major emphasis of the station. Programming also includes classical music as well as jazz and blues programming. In addition, a series of podcasts covering local politics and other relevant topics. Buried Truths, a national award-winning podcast, investigates stories of injustice, resilience, and racism in the American South. Gold Dome Scramble and Political Breakfast podcasts are hosted by veteran Atlanta political reporters who facilitate the dialog between political strategists from the right and left about a broad variety of timely issues on a biweekly basis.
