“Form 990, Part VI, Section B, Line 12c - Conflict of Interest Policy Compliance: The bylaws of McKinney Medical Center, Inc. (MMC) include a section addressing conflicts of interest. Conflicts or appearance of conflicts of interest should be avoided by Board members by declaring any personal interest in a matter or transaction before it is considered by the Board, describing the nature of the interest and any significant reason(s) as to why the transaction may not be in the Boards best interests and refraining from voting or influencing the Boards deliberations in the matter. The Quality Assurance Committee randomly performs audits to make sure the center is following the procedures and is in compliance with the policy. MMC also has a formal policy in place for officers and employees who can influence the actions of MMC. The policy details areas in which conflicts may arise and the nature of conflicting interest. Transactions with parties with whom a conflicting interest exists may be undertaken only if the conflicting the conflicting interest is fully disclosed. The person with the conflict is excluded from the discussion and approval of such transaction, a competitive bid or comparable valuation exists, and the Board or a duly constituted committee thereof has determined that the transaction is in the best interest of MMC. Disclosure of the interest should be made to the Chief Executive Officer who shall bring the attention to the attention of the Board. The CEO, CFO, Medical Director, and COO are responsible for administering the policy.”

“Form 990, Part VI, Section B, Line 15 - Review of the Executive compensation was last performed in 2023 by the Personnel Committee of the Board using comparable salary studies from NACHC and the Department of Labor. The Committee approved compensation for the 2025-26 period and annual increases are also approved by the Board every year. This process is documented in the Board minutes.”
