Governance Explanations

Form 990, Page 6, Part VI, Line 6

According to the bylaws, all persons who support the organization may become members upon approval of the board of directors and payment of dues. Original incorporators and original donors of real property interest and original persons contributing the minimum sum of 2,500 shall be charter members. Persons thereafter contributing 2,500 shall be sustaining members. All persons shall be regular members. After the charter or sustaining members have made their initial contributions, annual dues are volutary. Regular members pay dues annually based on rates established by the board of diretors for their designated subcategories of regular membership.

The board of directors are elected by members at the annual meeting. Each member has one vote. The officers of the organization are members of the board of directors.

The executive director reviews a draft copy of the 990 and discusses any questions, comments or changes with the cpa return preparer. Management emails each board member a pdf copy of the 990 for their review. Board members are givien a period of one week to review the return and reply to management with any questions, comments or changes.

The conflict of interest policy is distributed periodically to board members and staff who are asked to sign the policy and reveal in writing any potential conflicts of interest. Board members and staff are reminded at meetings and official communications to recuse themselves from any offical votes where they may have a conflict of interest.

The process for determining and reviewing the compensation for the organization's executive director involves the board of directos and the annual budgeting cycle. The executive committee of the board meets in closed session to discuss the performance of the executive director. Pay structure, salary scale and other comparability data is gathered from other nearby not for profit organization's. This information is used by the executive committee in determining the compensation for the excutive director as part of adopting the annual budget.

The organization receives donations of conservation easements from landowners. Occasionally the easements may be partially or entirely paid for by the organization. Conservation easements typically assign the development rights of land to the organization, thereby protecting it from development by current and future landowners. Although the removal of development rights of land has a measurable devaluation to the landowner, they have no attainable value to the organization. There is no market or market value for the easements in the hands of the organization and the easements in fact impose a financial burden on the organization. Easement donors, while helping the organization satisfy conservation objectives, actully impose financial responsibilities on the organization through their ongoing monitoring requirements. Threrfore, easements acquired by the organization (whether purchased or donated) are accounted for as "zero value" assets and are, therefore, not reflected in the organization's financial statements.
