Dawson county chamber of commerce conflict of interest disclosure policy and agreement this conflict of interest disclosure agreement will be distributed to each officer, director, ex-officio director and employee, at the beginning of each fiscal year. Each officer, director, ex-officio director and employee will then sign the conflict of interest disclosure statement which will remain in effect for the remainder of the fiscal year. In completing this agreement, the following guidelines will be used: 1. Any potential conflict of interest that could result in a direct or indirect financial or personal benefit to an officer, director, ex-officio director, or employee, or anything that would be potentially detrimental to the chamber, must be completely disclosed in good faith or known to the board of directors or committee authorizing a contract or other transaction. 2. All questions as to whether a conflict of interest exists shall be resolved by a vote of the board of directors in which the interested individual may not vote. 3. The interested individual may participate in the information-gathering stage of the board of directors' discussion. If it is deemed in the board's sole discretion that a conflict of interest exits, the interested individual may be requested to retire from the room in which the board of directors is meeting. The interested individual shall not participate in the final deliberation or decision regarding such contract or other transaction; such interested individual may not vote on such contract or other transaction. 4. In connection with all actions taken by the board of directors with respect to any contract or transaction between the chamber and one or more of its directors, ex-officio directors, officers or employees, or between the chamber and any other corporation, firm, association, or other entity in which one or more of the directors, ex-officio directors, officers or employees of the chamber is a director, ex-officio director or officer, or has a substantial financial interest, affiliation, or other significant relationship, each such interested director, ex-officio director, officer or employee of the chamber shall: completely disclose to the board of directors the material facts as to such director's, ex-officio director's officer's, employee's interest in such contract or transaction and as to any such common directorships, offices, or significant financial interest, affiliation, or other significant relationship, which disclosure shall be duly recorded in the minutes or resolutions relating to such actions, and abstain from voting on any such contract or transaction. 5. The board may request a written signed statement with definitive information from any director in the instance of a specific conflict or potential conflict. 6. All discussions regarding conflicts of interests and specific conflict of interest statements shall be duly recorded in the minutes of the organization. As an officer, director, ex-officio director or employee of the dawson county chamber of commerce, i will abide by this conflict of interest agreement. Financial Statement Notes

Schedule D, Page 3, Part X

The chamber is exempt from federal income taxes under section 501(c)(6) of the internal revenue code and therefore has made no provision for federal income taxes in the accompanying financial statements. The chamber has been determined by the internal revenue service not to be a "private foundation" within the meaning of section 509(a) of the internal revenue code. Effective january 1, 2009, the chamber implemented the new accounting requirements associated with uncertainty in income taxes using the provisions of financial accounting standards board fasb asc 740, income taxes. The guidance prescibes a minimum recognition threshold and measurement methodology that a tax position taken or expected to be taken in a tax return is required before being recognized in the financial statements. It also provides guidance for derecognition, classification, interest and penalties, accounting in interim periods, disclosure and transition. As of december 31, 2018, the chamber has no uncertain tax positions that qualify for either recognition or disclosure in the financial statements. With few exceptions, the chamber is no longer subject to u.s. Federal, state, and local income tax examinations by tax authorities for years before 2015.

THE CHAMBER HAS BEEN DETERMINED BY THE INTERNAL REVENUE SERVICE NOT TO BE A "PRIVATE FOUNDATION" WITHIN THE MEANING OF SECTION 509(A) OF THE INTERNAL REVENUE CODE. EFFECTIVE JANUARY 1, 2009, THE CHAMBER IMPLEMENTED THE NEW ACCOUNTING REQUIREMENTS ASSOCIATED WITH UNCERTAINTY IN INCOME TAXES USING THE PROVISIONS OF FINANCIAL ACCOUNTING STANDARDS BOARD FASB ASC 740, INCOME TAXES. THE GUIDANCE PRESCIBES A MINIMUM RECOGNITION THRESHOLD AND MEASUREMENT METHODOLOGY THAT A TAX POSITION TAKEN OR EXPECTED TO BE TAKEN IN A TAX RETURN IS REQUIRED BEFORE BEING RECOGNIZED IN THE FINANCIAL STATEMENTS. IT ALSO PROVIDES GUIDANCE FOR DERECOGNITION, CLASSIFICATION, INTEREST AND PENALTIES, ACCOUNTING IN INTERIM PERIODS, DISCLOSURE AND TRANSITION. AS OF DECEMBER 31, 2018, THE CHAMBER HAS NO UNCERTAIN TAX POSITIONS THAT QUALIFY FOR EITHER RECOGNITION OR DISCLOSURE IN THE FINANCIAL STATEMENTS.
