Governance Explanations

Form 990, Part VI, Section A, line 3

Georgia Pharmacy Foundation, Inc. (the "Foundation") has an administrative services agreement with Georgia Pharmacy Association, Inc. ("GPhA"). In accordance with the administrative services agreement, GPhA makes managerial and administrative personnel available to the Foundation. All of the Foundation's employees are provided by GPhA. GPhA files all of the required federal employment tax returns.

Form 990, Part VI, Section B, line 11B

After a draft version of the Form 990 has been prepared, the draft is emailed to the Board of Directors, who have an opportunity to discuss any issues before the form is finalized. The tax preparer is instructed to finalize the Form 990. An Officer will then sign and file the final return.

Form 990, Part VI, Section B, line 12C

At every meeting, the Officers and Directors are asked to disclose any conflicts of interest and any such conflicts are reported in the minutes. In addition, all must sign a Board member agreement each year which includes an affirmation that they will disclose any potential conflicts of interest.
