Governance Explanations

Form 990, Part VI, Section B, line 11

Form 990 is prepared by an independent CPA firm and reviewed in detail by the organization's top management. The reviewed Form 990 is then forwarded to the board of directors for review and approval prior to filing with the IRS.

Form 990, Part VI, Section B, line 12C

All officers and directors must sign a conflict of interest questionnaire annually. Each signed conflict of interest quesionnaire is reviewed by top management and the board of directors annually pursuant to the conflict of interest policy. If a conflict of interest was to arise, the board member would excuse themselves from any vote pertaining to the issue.

Form 990, Part VI, Section B, line 15

The organization's independent directors review officer compensation annually. Compensation is based on comparability data from other similar organizations. This process and annual compensation approval is documented in the board minutes via the budgetary process.

Form 990, Part VI, Section C, line 19

The organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request.

Additional Explanations

Form 990, Part XII, Line 2C:

The organization has a finance committee that assumes responsibility for oversight of the audit of its financial statements and selection of an independent accountant. This process has not changed since the prior year.

Financial Statement Notes

Part X, Line 2:

The financial statement effects of a tax position taken or expected to be taken are recognized in the financial statements when it is more likely than not, based on the technical merits, that the position will be sustained upon examination. Interest and penalties, if any, are included in expenses in the statements of activities. As of June 30, 2014 and 2013, Georgia Tech CCF had no uncertain tax positions that qualified for recognition or disclosure in the financial statements. The organization files information tax returns in the U.S. and various states. The Organization is generally no longer subject to U.S. federal and state income tax examinations by tax authorities for years before 2010.

IRS990ScheduleD/SupplementalInformationDetail/ExplanationTxt0The financial statement effects of a tax position taken or expected to be taken are recognized in the financial statements when it is more likely than not, based on the technical merits, that the position will be sustained upon examination.
