“MEMBERS”

“Organization members have the opportunity to elect all of the organization's board and at-large members. Officers are elected by the sitting board. Presidential appointees are designated by the current president. Members vote on the board with electronic voting for six weeks leading up to the annual meeting and in person voting at the annual meeting.”

“The organization's members are able to vote on any by-law changes that the organization chooses to make. These votes take place at the organization's annual meeting.”

“Copies of the form 990 are provided to all officers and board members before the form is filed or either shortly after, depending upon the time remaining before the due date of the return. Officers and board members are given the opportunity to review the form and ask any questions that they might have, as to its contents.”

“The organization's officers and board members are subject to the conflict of interest policy. Any officer or board member who has a material financial conflict is removed from all discussion and voting that takes place, with regard to the conflicted interest. Questions as to whether or not a conflict exist are voted on by the board (excluding the conflicted member/officer).”

“The executive director's contract and compensation are decided initially by the board, and then reviewed annually. Any bonuses or raises that the executive director receives are determined at this annual review.”

“The organization's articles of incorporation are available on the north carolina secretary of state's website. The organization does not usually provide access, for the public, to other governing documents, such as bylaws, the conflict of interest policy, or financial statements.”

“The object of professional educators of north carolina, inc. Is to unite the influence and endeavors of north carolina educators and other citizens in promotiong legislative, civic, moral, and social measures that are conductive to sound education; to pledge itself to service to the public, to obedience to the law, to maintenance of effective education, to the protection of public sovereignty over public education and the basic rights of management; to defend the privilege and uninterrupted and undelayed education for children; to support representation before boards of education of all duly established groups; and to reestablish basic individual freedoms for all.”
