“Any corporation, partnership, association or other person or individual, upon making a contribution of not less than twenty-five dollars to the corporation, shall become members of the corporation for the calendar year in which such contribution is made. All full or part-time employees of northside hospital who agree, by pledge or otherwise, to contribute not less than fifty cents per week or the equivalent to the corporation, shall become members for that portion of the calendar year which the pledge is effective.”

The shares help board of directors is appointed by finance leadership and serve terms in accordance with the bylaws of shares help.”

The board of shares help is comprised of northside hospital employees who are volunteering their time and may or may not possess financial background. As such, northside financial leadership, including the system controller and cfo, perform a detailed review of the form 990 and sign-off on the returns before they are filed. Outside counsel reviews sections at northside's request.”

“The organization follows northside hospital's conflict of interest policy and monitoring procedures. Northside hospital's officers, directors and key employees are required to complete and sign a disclosure questionnaire annually, in accordance with the hospital's conflict of interest policy. The legal services department reviews contracts with other care providers, educational institutions, manufacturers and payors to determine whether conflicts of interest exist and whether they are within law and regulation.”
