“The executive committee consists of the officers of the corporation together with the chairs of the standing committees and such additional persons as the board of directors sees fit. The executive committee shall exercise the authority of the board of directors when the board is not in session, except as limited by statute. The executive committee is responsible for developing goals and objectives of the corporation, for developing short- and long-range strategic plans for the achievement of such goals and objectives, and for initiating activities to implement such strategic plans. The executive committee is responsible for developing goals and objectives related to technology and facilities, for developing plans for the achievement of developed goals and objectives, and for initiating activities to implement such plans. The executive committee has the duty of evaluating the performance of the general manager and ceo annually or otherwise at intervals consistent with the terms of general manager and ceo's employment agreement, and of making recommendations to the board of directors as to the hiring, terms of employment, performance, and retention of a general manager and ceo. Except as limited, any action taken by the executive committee shall become the action of the board of directors when reported to the board at its first meeting thereafter. The board shall have authority to amend, rescind, or take further action on any action of the executive committee.”
