“The completed form 990 is reviewed by the audit and finance committees under the direction of the artistic director/ceo. Once their review is complete the audit and finance committees recommend that both the artistic director/ceo and board of directors accept the completed form 990 as presented. The completed form 990 is provided electronically via e-mail to all board members in advance of the filing. Any board members who cannot receive documents electronically are provided with a paper copy.”
“Board members annually sign written conflict of interest disclosure statements. The board president and other board officers review the completed disclosure statements and note conflicts. They will then ask the affected board members to recuse themselves from participating in discussions and votes on topics with which they have previously disclosed a conflict.”
“A committee of the board of directors annually reviews the compensation of the artistic director/ceo. They also benchmark the compensation against compensation provided to similar positions in comparable dance companies.”
“Nashville ballet makes its governing documents, conflict of interest policy, and financial statements available to the public upon request. Annual audits and significant other company information is available through the website https://givingmatters.cfmt.org/”
“The original principal is invested indefinitely and income generated from the principal is used to support the mission of nashville ballet.”
“Management performs an evaluation of all income tax positions taken or expected to be taken in the course of preparing the ballet's income tax returns to determine whether the income tax positions meet a "more likely than not" standard of being sustained under examination by the applicable taxing authorities. Management has performed its evaluation of all income tax positions taken on all open income tax returns and has determined that there were no positions taken that do not meet the "more likely than not" standard. Accordingly, there are no provisions for income taxes, penalties or interest receivable or payable relating to uncertain income tax positions in the accompanying consolidated financial statements.”
