Governance Explanations

Form 990, Part VI, Section A, Line 4

The organization adopted a change in its year end from a calendar year to a june 30th fiscal year, beginning jan 1, 2025. Also, npca amended its bylaws to streamline, simplify and reduce redundancies throughout the document. This led to reindexing and re ordering of various articles and sections contained in the bylaws. As a part of these amendments, npca made the following significant changes to its bylaws: article i, section 1.03 describing the purpose of npca was revised to: the purpose of npca is to serve as the platform for returned peace corps volunteers and their allies to: partner with and advocate for the peace corps to improve and raise awareness of its mission for global peace amplify, grow, and strengthen the network of peace corps groups and initiatives empower members of the peace corps community in their lifelong commitment to peace corps ideals and recognize outstanding individual achievement article iii, section 3.03 changed the quorum for items brought before membership at the annual meeting from 100 members to the number of members in attendance at the annual meeting. Article v, section 5.04, which describes the president/ceo's ex-officio status removed the explicit statement that the president/ceo may vote on matters before the board of directors. Article x, section 11.02 and 11.03, which details how npca's bylaws may be amended changed the authority for amending the bylaws from balloting membership to approval by npca's board of directors. Article viii, section 8.07 removed reference to the affiliate group network coordinator to realign the affiliate group network with the current affiliate group network standing committee structure for the representation of affiliate groups within npca. Corresponding changes to remove reference to the affiliate group coordinator and related rights were also removed throughout the bylaws.

Form 990, Part VI, Section A, Line 7A

A minimum of 10 members of the board of directors are elected by npca members for three-year terms on a rotating three year schedule (three per year); the remaining members of the board are elected by the board itself for three-year terms on a rotating three year schedule (three per year); one member (the president & ceo) is ex officio.

Form 990, Part VI, Section B, Line 11B

The tax return is reviewed by senior management. The draft 990 is presented to the finance committee for review. The finance committee reviews this form and asks questions which are answered by the president. The form 990 is then reviewed by the board of directors before filing with the irs. A copy of the final 990 is sent to the entire board after it is filed with the irs.

Form 990, Part VI, Section B, Line 12C

All board members, employees and officers are asked to disclose any potential conflicts of interest at least once a year. If a board member or officer has a conflict, they recuse themself from deliberating or voting on that matter. The board chair monitors compliance.

Form 990, Part VI, Section B, Line 15A

The executive committee annually reviews the president's compensation package. There is a highly participatory process, including approximately 20 members of the board and npca full-time staff, who are asked to provide input based on the year's goals as well as overall feedback and priorities moving forward. The executive committee then condenses and summarizes this information and presents it to the board, who vote on it, and the chair and vice chair then present this letter in person to the president. The process for determining compensation for the president takes place on an annual basis by the executive committee.

PART V, LINE 4:

Npca has three endowment funds. The global leaders fund is intended to underwrite activities (staff time, awardee travel, crystal, reception) related to the annual harris wofford global citizen award. The fund allows for an annual draw to cover administrative costs. The maureen orth never stop serving challenge fund serves to center on the heart of peace corps culture: service, partnerships, and caring for our neighbors. Npca will partner with local schools and civic groups by engaging in activities such as community service days and school presentations. The npca endowment serves to enables npca to sustain core initiatives over the long term in response to the needs of our global community.
