Governance Explanations

Form 990, Part VI, Section A, Line 4

During the fiscal year the organization amended it bylaws for the following significant change: the number of board members was reduced from a minimum of 27 and a maximum of 45 members to a minimum of 18 and a maximum of 27 members.

Form 990, Part VI, Section B, Line 11B

The form 990 is reviewed by the fiscal director and executive director prior to filing with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

It is the policy of community action for improvement, inc. To prohibit its employees and board members from engaging in any activity, practice, or act which conflicts with the interests of the organization. Situations which create an actual conflict of loyalty or interest or even the appearance of such a conflict must be scrupulously avoided unless approved in advance by the executive director and/or board of trustees.

Form 990, Part VI, Section B, Line 15

The board of trustees establishes compensation for the executive director. The executive director establishes the compensation for top management staff at the agency which is part of a salary scale of the agency. A compensation comparison is completed periodically to ensure the salaries are comparable with other similar agencies. The last compensation comparison was completed in 2018 through information obtained from southeastern association of community action agencies, an organization of which community action for improvement, inc. Is a member.

Form 990, Part VI, Section C, Line 19

The governing documents, conflict of interest policy and financial statements are maintained at the agency's headquarters. These documents are made available to the public upon request.

Additional Explanations

Form 990, Part III, Line 3

During the fiscal year the organization discontinued the child care/education program which promoted school readiness by enhancing the social and cognitive development of low-income children through provision of health, educational, nutritional, social and other services that are determined as necessary based on family needs assessments.

Financial Statement Notes

PART X, LINE 2:

The organization is required to assess whether it is more likely than not that a tax position will be sustained upon examination on the technical merits of the position assuming the taxing authority has full knowledge of all information. If the tax position does not meet the more likely than not recognition threshold, the benefit of that position is not recognized in the financial statements. The organization has determined there are no amounts to record as assets or liabilities related to uncertain tax positions.
