STATEMENT TO FORM 990, PART VIII, LINE 7A AND 7CIN 2024 THE ORGANIZATION SOLD AN EASEMENT FOR $537,500 ON NOVEMBER 21,2024. SINCE THERE WAS NO TAX BASIS TO THE EASEMENT, THE SALE PRICE REPRESENTED A GAIN OF $537,500, ALL OF WHICH WAS POTENTIAL UNRELATED TAXABLE INCOME. IN THAT REGARD, BROOKWOOD HILLS COMMUNITY CLUB, INC. ASSERTS THE FOLLOWING:1. UNDER 501(c)(7)THE PROCEEDS FROM THE SALE OF THE CONSERVATION EASEMENT DOES NOT ALTER OPERATIONS SO AS TO POSSIBLY JEOPARDIZE OUR TAX EXEMPTION, AS LESS THAN 35% OF OUR GROSS RECEIPTS WERE AND CONTINUE TO BE FROM SOURCES OUTSIDE OUR MEMBERSHIP, AND LESS THAN 15% OF SUCH GROSS RECEIPTS WERE AND CONTINUE TO BE FROM THE USE OF OUR FACILITIES BY THE GENERAL PUBLIC.2. THE CONSERVATION EASEMENT CONSTITUTES PROPERTY USED DIRECTLY IN THE PERFORMANCE OF OUR EXEMPT FUNCTION FOR PURPOSES OF SECTION 512(a)(3)(D) OF THE INTERNAL REVENUE CODE.3. SINCE THERE WAS NO TAX BASIS TO THE EASEMENT, THE SALE PRICE REPRESENTED A GAIN OF $537,500, ALL OF WHICH WAS POTENTIAL UNRELATED TAXABLE INCOME. IN THAT REGARD, BROOKWOOD HILLS COMMUNITY CLUB, INC. ASSERTS THE FOLLOWING:1. UNDER 501(c)(7)THE PROCEEDS FROM THE SALE OF THE CONSERVATION EASEMENT DOES NOT ALTER OPERATIONS SO AS TO POSSIBLY JEOPARDIZE OUR TAX EXEMPTION, AS LESS THAN 35% OF OUR GROSS RECEIPTS WERE AND CONTINUE TO BE FROM SOURCES OUTSIDE OUR MEMBERSHIP, AND LESS THAN 15% OF SUCH GROSS RECEIPTS WERE AND CONTINUE TO BE FROM THE USE OF OUR FACILITIES BY THE GENERAL PUBLIC.2. THE CONSERVATION EASEMENT CONSTITUTES PROPERTY USED DIRECTLY IN THE PERFORMANCE OF OUR EXEMPT FUNCTION FOR PURPOSES OF SECTION 512(a)(3)(D) OF THE INTERNAL REVENUE CODE.3. GAIN FROM THE SALE OF THE CONSERVATION EASEMENT WILL BE RECOGNIZED ONLY TO THE EXTENT THE SALES PRICE OF THE CONSERVATION EASEMENT EXCEEDS, IF ANY, THE PURCHASE PRICE OF OTHER PROPERTY PURCHASED WITHIN THE TIME PERIOD SPECIFIED IN SECTION 512(a)(3)(D) AND USED DIRECTLY IN FURTHERANCE OF OUR EXEMPT FUNCTION.4.
