“Under the corporate bylaws of the lovett school, inc., an audit committee of the board of trustees was established comprised of trustees and of trustees emeriti of the board, and the audit committee was delegated, among others, the authority and responsibility for overseeing and approving the annual preparation and filing of tax returns, forms and other items required under any applicable legal requirements, including, but not limited to, the annual preparation of form 990, the oversight and approval of the final form of each annual form 990, and causing the filing of each such annual form 990 with the internal revenue service; provided, however, that prior to any annual filing of lovett's form 990, lovett first provides and/or makes available for inspection a complete copy of this form 990 by all members of the lovett board of trustees.”

“Annually all (i) members of lovett's board of trustees, (ii) its officers, (iii) its key employees (as defined in the irs guidelines) and (iv) its five current highest compensated employees who received reportable compensation of more than $100,000.00 from lovett (and who are no lovett officers, directors, trustees or key employees) are required to, and do, complete and execute written conflict of interest and family and business relationship disclosures consistent with lovett conflict of interest policy. For lovett's fiscal year ended june 30, 2023, none of the completed and executed written conflict of interest and family and business relationship disclosures from such members of lovett's board of trustees, from such lovett's officers, from such lovett's key employees or from such lovett's five current highest compensated employees who received reportable compensation of more than $100,000.00 from lovett disclosed any conflicts of interest for such lovett's fiscal year ended june 30, 2023.”

“Annually, the compensation committee and the executive committee of the board each is required to review and consider prior to such committees making their respective decisions (a) information in form 990s filed by comparable educational organizations (and which are publicly available) regarding compensation and benefits provided by such comparable educational organizations to their respective ceos and heads of school, other officers and key employees and/or (b) information in compensation and benefits surveys and studies prepared by educational industry associations in which lovett is a member regarding compensation and benefits provided by comparable educational organizations (which are also members of such educational industry associations) to their respective ceos and heads of school, other officers and key employees, as applicable from year to year.”
