Governance Explanations

Form 990, Part VI, Section A, line 6

The Association has members who have the rights to elect the governing body and approve revisions to the Bylaws and Constitution.

Form 990, Part VI, Section A, line 7A

Members elect the Board members. Currently, the elected Officers will continue to serve in such roles for the duration of the terms when elected, which consist of automatically ascending through the sequence of President-Elect, who will ascend to the offices of President/Board Chair and Immediate Past President in successive years.

Only revisions of the Bylaws and Constitution must be approved by the members.

Form 990, Part VI, Section B, line 11B

After a draft version of the Form 990 has been prepared, the draft is emailed to all Directors, who have an opportunity to discuss any issues before the form is finalized. The tax preparer is notified to finalize the Form 990. An Officer will then sign and file the final return.

Form 990, Part VI, Section B, line 12C

At every meeting, the Officers/Directors/Trustees are asked to disclose any conflicts of interest and any such conflicts are reported in the minutes. In addition, all must sign a Board member agreement each year which includes an affirmation that they will disclose any potential conflicts of interest.

The Board committee charged with this project utilized a confidential compensation survey of executives for similar associations across America. They also made personal inquiries of other associations of like organizations in our geographic region for which they are acquaintances. A complete report was made to the Officers for their approval.

IRS990/Desc0Regions and Academy Operations: (1) The Academy of Independent Pharmacy (AIP) promotes the ownership and management of independent pharmacies. To this end, AIP partners with about 40 vendors and 5 wholesalers who provide goods and services to independent pharmacies. We have approximately 400 pharmacies that are members of AIP. In addition, AIP employs 2 Member Service Representatives (MSRs) who provide regular consultation to independent pharmacies. (2) The Academy for Clinical and Health System Pharmacists (ACHP) supports members (162) who are employed by large health systems or provide consulting services. (3) The Academy of Employee Pharmacists (AEP) are those professionals working directly with patients. This academy has 330 members representing all community pharmacies across the state of Georgia. (4) The Academcy of Pharmacy Technicians (APT) is the convening academy for technicians (230). APT coordinates an annual TechU providing continuing education to ensure technicians have state of the art information and training. (5) In addition to our academies, we have 12 regions in Georgia that have meetings twice a year. Each region provides a local and accessible gathering place for pharmacists to network, obtain continuing education (CPE), and public policy information through an in-person experience.

IRS990/ProgSrvcAccomActy2Grp/Desc0Meetings and Conferences: Our annual convention is the largest of these activities. It is an opportunity for members to connect, obtain continuing education, and learn about products and services available from pharmacy vendors. There were 335 attendees, which included pharmacists (260), pharmacy technicians (14), and pharmacy students (61). We offered over 27 continuing education sessions that provided up to approximately 30 CE hours. In addition, we honor those pharmacists and technicians who have done extraordinary work to advance the profession by giving out 14 awards, including the Bowl of Hygeia, 50 Year Pharmacist recognition, and other volunteer board service awards.
IRS990/ProgSrvcAccomActy3Grp/Desc0Member Services: There are a number of ways by which we promote and enhance the profession of pharmacy and educate the public on the value of pharmaceutical services. We constantly communicate with our members to keep them apprised of developments in the field of pharmacy. (1) All members receive weekly policy and practice updates. (2) We send out press releases promoting pharmacy and pharmacists. (3) We educate our state legislators on what pharmacists do and encourage them to work towards increasing the direct care by Georgia pharmacists. (4) We provide educational meetings and activities for student pharmacists to encourage them to become active members of the Association, and thus serve the profession. (5) We maintain an updated website with information about the profession. (6) We provide pharmacy owners with insurance benefits and purchase discounts. (7) We send out a weekly newsletter, The Buzz, to members, partners and stakeholders. (8) We include continuing education courses (both virtually and in-person) as a member benefit.
