“Sean moxley (board member) and charlie garbutt (board member) - business relationship”
“There shall be four membership classifications in the branch: regular, provisional, honorary, and associate. (a) regular members. Regular members must be general contractors who have been engaged in the business of general construction in either the building, highway, heavy, municipal-utility, or industrial field for two or more years, and have established a reputation for skill, integrity, and responsibility. They must subscribe to and support the by-laws, policies, principles, and purposes of the branch and national association. They must undertake work as a prime contractor with overall responsibility for the satisfactory completion of a project using their own employees to perform or manage part of their work. They may be owned and operated as an individual, a partnership, a corporation, or a joint venture. Regular members may use the name and emblem of the national association and the georgia branch. Only regular members may vote and serve as officers. New firms of which one or more principal officers have had at least five years executive experience with a member in good standing of the branch; has demonstrated a reputation of skill, integrity, and responsibility; agrees to subscribe to and support the by-laws, policies, principles, and purposes of the branch and national association, shall be entitled to automatic regular membership in the branch upon formal written application and approval by the board of directors. Also, contractors domiciled in another state and who are members in good standing of another chapter and branch of the associated general contractors of america, inc., are entitled to automatic regular membership affiliation in the branch without the usual membership investigation procedures upon submittal of written application and approval by the board of directors. These visiting contractors are subject to the same requirements for admission to membership, chapter dues, fees, policies, principles, and procedures of the branch as are resident georgia members. --- (b) provisional members. For the purpose of developing qualified members and to provide better contact with prospective members, a provisional membership may be granted to those contracting firms which lack the experience to be regular members of the branch. They must show evidence of possessing the qualifications of skill, integrity, and responsibility and agree to subscribe to and support the principles and purposes of the branch and national association. Provisional membership may be granted for not more than three calendar years. Such members are entitled to use the emblem, receive publications, and other services of the branch and national association, but may not vote or hold office. --- (c) honorary membership. An individual who has performed distinguished services for the branch or industry shall merit consideration of honorary member. Qualified individuals shall be nominated by a regular member, and upon two-thirds approval of the board of directors, shall be given the title of honorary member, which title shall be issued for life or until such time as revoked by the board of directors. The honorary membership shall entitle the holder to full participation in all social functions and membership meetings but not the privilege to vote, hold office, or display the emblem. --- (d) associate membership. There shall be three types of associate membership. (1) subcontractor associate, (2) affiliate associate, and (3) provisional associate. Associate members shall automatically be enrolled as national agc associate members. The only decision that requires a membership vote is the election of the board of directors and officers. Of the 30 board members, 2 are non-general contractor members. These 2 members cannot be officers.”
“The 990 is reviewed and approved by the elected officials of the executive committee of the board of directors which includes a president, vice president, secretary and a treasurer. A copy of the return is made available to the full board at the board meeting held prior to filing.”

“By the chief executive officer using comparability compensation data of similarly qualified persons and this is reviewed by the executive committee.”
“The conflict of interest policy and the financial statements are available to the public upon request.”

“The association and foundation are exempt from federal income taxes under sections 501(c)(6) and 501(c)(3), respectively, of the internal revenue code and therefore, no provision for income taxes is required. The organization annually evaluates all federal and state income tax positions. This process includes an analysis of whether these income tax positions the association and foundation take meet the definition of an uncertain tax position under the income taxes topic of the financial accounting standards codification. In the normal course of business, the organization is subject to examination by federal and state taxing authorities.
