If the ceo is the person in conlfict, the potential conflict is disclosed to the board chair. The board chair determines whether a conflict or potential conflict exists is material. Any disclosures determined to potentially exist and be material is then disclosed to the rest of the board of trustees to determine under what conditions the transaction may be permitted. If a conflict of interest is present, the interested person may attend presentations at the governing board or board meetings, but must excuse themselves from any discussions or decisions made after the presentations. Any employee who violates the policy is subject to a disciplinary action, up to and including discharge, and any board member who violates the policy may be required to resign from the board.”
