Governance Explanations

Form 990, Part VI, Section B, Line 11B

The 990 is reviewed and approved on three levels before it is filed with the irs. Edventure staff, including the accountant, cfo, and ceo review the 990 prepared by the external tax accountant to ensure the figures tie back to the audited financial statements. The second level of review and approval is performed by the internal affairs committee. The third level is a vote to submit the return by the board of trustees.

Form 990, Part VI, Section B, Line 12C

At the time of employment, employees are asked and background checks are completed to determine if there are any conflicts of interest prior to an offer of employment. During their employment, employees are required to report any circumstances that may be considered a conflict of interest to their supervisor so a determination can be made and appropriate action taken. On an annual basis, each board member is required to read, sign, and follow edventure's conflict of interest policy. In the event of a conflict, the person with the conflict will recuse themselves from all discussion and/or vote involving the conflict of interest.

Form 990, Part VI, Section B, Line 15

Compensation process for top official: yearly goals are set by the board of trustees and accomplishment of these goals determine compensation for the ceo. Compensation changes are determined by the executive committee using nonprofit ceo compensation studies and are voted/approved by the board. Compensation process for officers: a compensation study of senior staff salaries was conducted using survey data compiled by the association of science-technology (astc) and the association of childrem's museums (acm), along with a review of other columbia non-profit data. The data reflected a wide range of museum and non-profit sizes, types and locations. All data were linked to edventure's specific positions based on the following criteria: type of institution, location, operating expense, number of employees and instition age. Based on the evaluation of these criteria, a salary structure was compiled for edventure's staff. It is reviewed annually and updated as necessary. Compensation discussions are documented.

Financial Statement Notes

PART X, LINE 2:

The museum is a tax exempt entity under section 501(c)(3) of the internal revenue code. In addition, management believes that there is no unrelated business income subject to taxation. Accounting principles generally accepted in the united states of america require management to evaluate tax positions taken by the museum and recognize a tax liability (or asset) if the museum has taken an uncertain position that more likely than not would not be substantiated upon examination by the interal revenue service. Management has analyzed the tax positions taken by the museum, and has concluded that as of june 30, 2018, there are no uncertain positions taken or expected to be taken that would require recognition of a liability (or asset) or disclosure in the financial statements. The museum is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods in progress.
