“A nominating committee made up of seven trustees creates a slate of officers and new board members. These new board members are approved by the executive committee and then the full board of trustees.”

“Decisions of committees are approved first by the executive committee, then by the full board of directors. The executive committee is empowered to act for the full board of directors when decisions arise between quarterly trustee meetings. Any action taken by the executive committee between the regularly scheduled meetings of the board of directors is ratified by the board of directors at the following meeting.”

“The process for board of directors' review of the form 990 is to distribute, via e-mail, copies of the form 990, upon completion, to members of the finance committee during the applicable fiscal year. Questions and comments raised by board members by e-mail, telephone, or in writing are addressed prior to filing the form 990.”

“The organization's board of trustees adopted a "conflict of interest policy" written and established by the board, to enact policies and procedures to ensure that all contracts, transactions and dealings are in the best interest of the organization, and not for the purpose of benefiting any individual member of the board of trustees.
