Governance Explanations

Form 990, Part VI, Section B, Line 11

As stated in the by-laws of the walker foundation, duties of the treasurer include ensuring that an audit is performed by a cpa firm, generally, in addition, the form 990 is prepared for the organization by a responsible party. Prior to filing the return, the treasurer has an opportunity to review the document and consult with the executive committee regarding questions or concerns.

Form 990, Part VI, Section B, Line 12C

The walker foundation has a written conflict of interest policy. Within its written policy and included ethics sections, the foundation states that its board of trustees and staff are committed to an honest and ethical code of behavior in all dealing under this code. Trustees and staff members agree to effectively disclose all potential and actual conflicts of interest. Policies are periodically updated by the board of trustees.

Form 990, Part VI, Section B, Line 15

Article seven of the walker foundation policies addresses personnel issues. The executive committee of the board of trustees functions as the personnel committee. Staff members are contracted to serve in temporary grant/time limited project positions in accordance with the general and temporary provisions of the sc code of laws and state human resources regulations. In this employment status, staff members are compensated and offered benefits in the same manner prescribed for the state employees at the sc school for the deaf & blind (scsdb) in accordance with the state and federal laws, rules and regulations. The walker foundation reimburses scsdb for all costs associated and incidental to the employment of the walker foundation staff.

Form 990, Part VI, Section C, Line 19

As outlined in its by-laws, the walker foundation's policy enables its executive director to distribute audited financial statements to its board of trustees and or organizations entitled to receive a copy. The authority to distribute statements to other individuals or firms requesting them is left to the discretion of the executive director. The foundation maintains an audited financial statements log.
