Governance Explanations

Form 990, Part VI, Section A, line 1

The Executive Committee consists of the officers of the Board and the chairman of the standing committees. The Executive Committee has the power, in the interim of the meetings of the Board of Trustees, to do all acts and perform all duties and services necessary to the operation of CSU within the established policy of the Board. This provision does not authorize any act relating to capital improvements, unless the Executive Committee is given such authority by the Board. All actions of the Executive Committee excercised under this provision are reported to the Board of Trustees at the next regular or special meeting for review and consideration, and whenever necessary for ratification.

Form 990, Part VI, Section A, line 7A

The governing body of Charleston Southern University is vested in a Board of Trustees, elected by the South Carolina Baptist Convention in the manner and for the terms prescribed in the charter of the institution, in accordance with the action of the Convention. The South Carolina Baptist Convention is an association of cooperating churches which meets annually for two days to conduct Convention business. Each church that contributes to the Cooperative Program and adheres to the Baptist Faith and Message 2000 is allowed to send a delegation of messengers to the annual meeting. Messengers register in advance and credentials are issued (including voting ballots) to qualified messengers. The Messengers elect the trustees of Charleston Southern University.

Form 990 is prepared by an independent CPA firm and reviewed in detail by the organization's top management. The reviewed Form 990 is then provided to the board of directors prior to filing with the IRS.

Form 990, Part VI, Section B, line 12C

All trustees and senior administration are required to submit a written listing of any such interests. Any disclosed potential conflicts are reviewed by the officers of the board. Should any potential conflicts of interest be disclosed, the board member or officer would be asked to refrain from participation in any deliberation or decision with regard to matters affected by the relationship.

Form 990, Part VI, Section B, line 15

The independent officers of the Board review compensation data for other college and university presidents and annual evaluations of the President's performance which are completed by each Board member annually. This data is utilized in setting appropriate compensation levels for the upcoming term of the President's contract. The resulting recommendation is presented to the full independent Board of Trustees for discussion and approval contemporaneously. The approval and discussion is documented in the board minutes. Compensation of the organization's other officers is determined annually by the President considering performance and comparability data for others with similar responsibilities at similar institutions. The President is independent. Deliberations and decisions are documented in the HR files.

Form 990, Part VI, Section C, line 19

Governing documents are not available to the general public. The conflict of interest policy and the financial statements are available to the general public upon request.

Form 990, Part VII, Section A, Line 1:

Compensation reported in Part VII, column D is the amount reported on the individual's W-2, box 1 or 5 (whichever amount is greater) per the IRS instructions. In the case of minister's compensation when box 5 of the W-2 is not applicable, box 1 compensation is used. Employee deferrals to qualified retirement plans are normally captured in box 5, not box 1 of Form W-2. For reporting purposes we have included the minister's retirement plan deferrals in Part VII, column F.

IRS990/Desc0Instruction: For the Academic year, 2017-2018, enrollment was 3,530 undergraduate and graduate students completing traditional, online, and hybrid courses. 682 degrees were conferred during the year, and the total number of full-time professors was 189. We offer 48 undergraduate degrees and 18 graduate degree programs. New graduate programs started this year include a Master's in Athletic Training, a Master's in Biology, and a Master's in Physician Assistant Studies.CSU offers more than 800 courses, and approximately 140 are available online. Deans and senior administrators are continually in touch with local employers and we are striving to develop new programs to increase workforce readiness through internships. Continuous campus growth is evident; the new Health Science Building, a new Athletic Training facility, and the Singleton Baseball Complex were completed this year. New buildings under construction now include an addition to the Health Science Building, an addition to the Science Building, and a new dormitory.CSU partnerships have expanded to several South Carolina school districts outside of the Lowcountry. We continue to offer online and traditional professional development courses in gifted and talented and reading literacy for currently employed teachers seeking additional certifications. We also play an active role on the Trident United Way and the Cradle to Career programs locally. The School of Education has also partnered with local private high schools to offer dual enrollment to students who are interested in transferring to CSU after they graduate from high school. Our Teacher Cadet program had 187 students enrolled last year, one of the largest programs in the state. CSU received provisional accreditation for the new Physician Assistance program, full accreditation for the Athletic Training program and the School of Business this year. We plan to continue growing our student enrollment with more online and hybrid programs. CSU is focused on growing enrollment in our online programs as more adults are now electing to return to school to complete both undergraduate and graduate degrees. The new graduate program in Psychology begins this year, and CSU has also applied to SACS-COC to become a doctoral granting institution.The Experiential Learning Initiative (ELI) continues to provide a growing number of undergraduate students with opportunities to obtain work experience through an internship program. It is part of our Quality Enhancement Program required by regional accreditation and integrates clinical-based, practicum experience and non-traditional learning opportunities for all undergraduate students. Through the ELI program, CSU has continued to build a network of outside partners in public and private businesses and the students are greatly benefitting from participation in the program.We have enhanced the services of our Global Education office by increasing the number of international partnerships with overseas universities. Students are studying in China, New Zealand, England, Czech Republic, Austria and Jordan this year. We have international students enrolled at CSU from Brazil, Columbia, Germany, Turkey, England, Sweden, Bulgaria, Kenya, Australia, Spain, Ethiopia, Nigeria, Ukraine, Pakistan, Japan, Thailand, South Africa, and Ghana. CSU was named to America's 100 Best College Buys and America's Best Christian Colleges by Institutional Research & Evaluation, Inc. The list identifies outstanding Christian Colleges offering high quality education at the lowest possible costs. Our Bachelor of Science degree in Organizational Management continues to be ranked high in online college programs by U.S. News and World Report. CSU is a yellow ribbon, military friendly school. CSU awards institutional, state, NCAA and federal financial aid to a rapidly growing student population representing an increase in numbers and academic quality.
