Home building is a business where subcontracting is very common. It is common for members, and officers and directors, to do business with one another, and with the association. The association enforces a conflict of interest policy and requires members of the board of directors to recuse themselves when a conflict may occur.

The association is a membership-based professional trade association. The members own the association.

The members of the association participate in the election of the board of directors, approve its bylaws and articles of incorporation, and amendments thereto, and approve the association's affiliation with the national association of home builders.

Conflict of interest and disclosure statements are completed annually by the members of the board of directors. These statements are submitted to the president and maintained by the chief executive officer. The chief executive officer prepares disclosure summaries for the board of directors. As events warrant and to the extent possible, the chief executive officer reports apparent and reported conflicts of interest to the board of directors. As appropriate, members of the board who have conflicts are required to abstain from consideration of the related business matter. The president reviews this policy at the beginning of each meeting of the board.

A personnel committee is appointed annually by the president and ratified by the board of directors. That committee reviews the performance of the chief executive officer and any covered key employees. That committee uses data of comparable compensation to determine the compensation of covered employees and reports the results to the board of directors. Minutes of those meetings are taken, reviewed, and approved by the members of the committee.
