Mission

The alliance is the recognized leader within the organ donation and transplantation community dedicated to providing engaged learning, innovation and collaborative leadership for future advancements in organ donation and transplantation.

The organ donation and transplantation alliance ("the alliance") delivers relevant, targeted and scalable learning solutions for the organ donation and transplantation community of practice including organ procurement organizations, transplant centers and programs, and hospitals where donations occur. By convening members across the community of practice, it is a platform to identify emerging concepts and innovative practices, and cascading resources and educational programs of transformational quality and value. The alliance is not a membership organization, but partners with leading organizations across the continuum to advance a shared mission to save and heal lives through organ donation and transplantation.

Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive committee consists of the chair, immediate past chair, vice chair, secretary, and treasurer. The executive committee has authority to take such actions for the board as may be required between meetings of the board, provided, however, that the committee shall not have the authority of the board of directors in reference to amending, altering or repealing the bylaws; electing, appointing or removing any member of any such committee or any director or officer of the corporation; amending the articles of incorporation; adopting a plan of merger or adopting a plan of consolidation with another corporation; authorizing the sale, lease, exchange or mortgage of all or substantially all of the property and assets of the corporation; authorizing the voluntary dissolution of the corporation or revoking proceedings therefore; adopting a plan for the distribution of the assets of the corporation; or in reference to amending, altering, or repealing any resolution of the board of directors which by its terms provides that it shall not be amended, altered, or repealed by such committee.

The following organizations may appoint one director to the alliance's board of directors: american college of healthcare executives ("ache"); american society of transplantation ("ast"); american society of transplant surgeons ("asts"); association of organ procurement organizations ("aopo"); joint commission on accreditation of healthcare organizations ("jcaho"); united network for organ sharing ("unos"); the american hospital association (aha); the society for critical care medicine (sccm).

The alliance's bylaws may be altered, amended, or repealed only by a vote of a majority of the directors who represent ache, ast, asts, aopo, jcaho, unos, aha, and sccm.

A draft of form 990 is reviewed by management and then provided to each board member for review. The executive director is available to answer any questions a board member may have about form 990. The form 990 is filed with the irs after the review process has been completed.

The organization regularly and consistently monitors and enforces compliance with its conflict of interest policy. The conflict of interest policy applies to the board and full time employees. Any conflict of interest will be reported to the executive director, who will then submit it to the compliance officer (vice chair of board of directors). It is then subject to review by the board. Voting members will abstain if there is a conflict of interest on the transaction being voted on. Conflict of interest forms are signed and reviewed annually. This is documented in the board minutes.

The alliance is a nonprofit coroporation that is exempt from federal income taxes under section 501(c)(3) of the internal revenue code and classified by the internal revenue service (irs) as other than a private foundation. The alliance follows the accounting standards for contingencies in evaluating uncertain tax positions. This guidance prescribes recognition threshold principles for the financial statement recogtnition of tax positions taken or expected to be taken on a tax return that are not certain to be realized. The alliance's tax returns are subject to review and examination by federal and state authorities.
