Governance Explanations

Form 990, Part VI, Section B, Line 11B

Westchester childrens museum has its form 990 prepared by an outside accounting firm and has established the following review process to ensure that the information reported is complete and accurate. When the form 990 has been prepared, reviewed by management and is ready to be filed with the internal revenue service, it is electronically sent to the board for approval. Once the board has approved the return it is filed with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

A conflict of interest on the part of any member of the board, or any member of the immediate family of a board member occupying the same household, shall be disclosed by the board member to the board of trustees at least annually and made a matter of record. When any such interest becomes relevant to any subject requiring action of the board, the board member having a conflict shall call it to the attention of the president, and if the matter is being considered by a comittee of the board, to the attention also of the chair of such committee. The board member having such a conflict shall not participate or use any personal influence in the discussion of the subject or make any recommendations regarding the subject. However, the board member will briefly state the nature of the conflict, and will provide pertinent information requested by other board members when the board member's knowledge of the subject will assist the board.

Form 990, Part VI, Section B, Line 15A

The compensation for the organization's executive director is negotiated by the board's executive committee. The limits of the compensation package are set by the board after careful review and survey of compensation packages for similar non-profit executive directors and with consideration to the organization's current operating budget. The executive committee has the option of retaining legal advice for review and negotiation of the executive director's employment agreement. All adjustments to the executive director's compensation are subject to the approval of the entire board. The review is conducted annually according to the executive director evaluation policy and approved by the entire board during an executive session.

The organization makes its form 990 available for public inspection as required under section 6104 of the internal revenue code. The return is posted on guidestar.org and other similar types of websites. In addition, the financial statements, conflict of interest policy, articles of incorporation and by-laws are also available upon written request.

Westchester children's museum has a committee that is responsible for the oversight of the audit of its financial statements and the selection of an independent accountant. This process has not changed from the prior year.

Financial Statement Notes

PART III, LINE 1A:

Collections consist of art and natural science treasures and other similar assets. The museum does not capitalize its collections. Purchases of collection items are recorded as decreases in net assets without donor restrictions if purchased with general funds or as decreases in net assets with donor restrictions if purchased with donor-restricted funds. Contributions of collection items are not recognized in the statements of activities. Proceeds from the sale of any collection items are to be used to purchase additional collection items or for the direct care of existing collections. The museum defines direct care of collections as any activity that involves the protection and preservation of the collection.

PART X, LINE 2:

The museum recognizes the effect of income tax positions only if those positions are more likely than not to be sustained. Management has determined that the museum had no uncertain tax positions that would require financial statement recognition or disclosure. The museum is no longer subject to examinations by the applicable taxing jurisdictions for periods prior to june 30, 2021.
