“Board Members regularly disclose any potential conflicts of interest prior to quarterly group meetings. All reported instances are reviewed by the Board of Directors. Members are asked via regular surveys whether any conflicts of interest are perceived. If any instances are brought to light they are reviewed by a special Oversight Committee. Thus far no conflicts have been reported that have conflicted with VCSQIs stated mission and goals.”

“The compensation of the Quality Improvement Advisor the organizations other top contractor is reviewed and approved annually by the organizations Board of Directors or a designated Compensation Committee composed entirely of independent members who have no conflict of interest in the decision. The process includes: Review of Comparability Data: The committee uses compensation surveys Form 990 filings of similarly sized and mission-aligned nonprofits and when appropriate independent compensation consultants to obtain comparability data relevant to the Quality Improvement Advisors position qualifications and responsibilities. Deliberation and Approval: The committee discusses the compensation package including base salary and any benefits or performance-based incentives in a meeting held outside the presence of the Quality Improvement Advisor. The compensation decision is based on the comparability data and the Quality Improvement Advisors performance in advancing the organizations goals. Contemporaneous Documentation: Meeting minutes are prepared to document the deliberations the data reviewed the decision reached and the members involved in the approval. These minutes are maintained as part of the organizations official records. This process is designed to satisfy the rebuttable presumption of reasonableness under IRS regulations for tax-exempt organizations.”
