Governance Explanations

The executive committee is comprised of the chairperson, vice-chairperson(s), secretary, treasurer and president (without vote). The executive committee may exercise all of the powers of the board of directors when the board of directors is not in session, and shall report its actions to the board at the next meeting of the board. A quorum of the committee members must be present. Exceptions to the power and authority of the executive committee are as follows: (a) the filling of vacancies on the board (b) the adoption, amendment or repeal of the governing documents (c) the amendment or repeal of any resolution of the board (d) action on matters committed by the bylaws or by resolution of the board to another committee of the board

The form 990 is prepared by an independent accounting firm. All officers will receive a draft copy of the form 990 along with all comments for changes prior to filing. The final copy will be sent to the officers and board of directors through email prior to filing with the internal revenue service.

Officers, directors and key employees are required to disclose annually interest that could give rise to conflicts. The annual disclosures are reviewed by the board chair and the final determination as to whether a conflict exists is determined by the joint officers committee. If any director is involved individually, or as part of a business or professional firm, in the organization's business transactions or professional services they must timely disclose such a relationship and must recuse themselves when matters of such transactions are discussed and/or voted upon, and will be required to leave the meeting if such is requested by another director in attendance.

After input is sought from board members, the board chair responds to the annual summary of goals and objectives by conducting the annual performance evaluation with the senior vice president/executive director. Following the evaluation a review of national and state salary surveys (typically the alliance for children and families and the pennsylvania council of children, youth and family services respectively) is conducted by the chair in consultation with board leadership to set the salary and 457(b) plan contributions for the coming year. Salary adjustments following annual performance reviews of other key leadership positions (president/ceo, other vice presidents) are conducted by mhc with methodist services board member input. Salary adjustments fall into 3 categories, but are not always changed each year. 1. Cost of living adjustment (annually approved by the human resources committee), 2. Salary adjustment according to trends, and 3. Recognition for high performance in the given year. The process, deliberation and final decision are timely documented in the board minutes. Form 990, part vi, section b, line 15b: though the compensation review process noted above covers the top management official and other internally designated key leadership positions, no other compensated employee meets the internal revenue service definition of other officer or key employee, and as such the response to this question is required to be no.

FORM 990, PAGE 1, SECTION B:

The methodist services audit was not finalized prior to the filling date of the 2021 form 990. As the audit was finalized, there were some changes made to the financial statements that impacted the previously filed form 990. The changes made to the form 990 are as follows. Page 9, part viii, line 1d increased by $960,687. Total revenue, line 12, increased by $983,017. This increase can also be seen on schedule d, part xi, line 5. Page 10, part ix, line 25a total expenses decreased by $3,125. This decrease can also be seen on schedule d, part xii, line 5. There were also some reclasses between program service vs. Management & general expenses, which caused shifts in the amounts in columns b vs. C. Page 11, part x, line 16, total assets, increased by $187,915. Line 26, total liabilities, decreased by $798,227. Line 32, total net assets, increased by $986,142. Schedule a was impacted by the financial changes mentioned above. Schedule a, page 2, part ii, line 14 increased by .02%.

Financial Statement Notes

PART X, LINE 2:

Methodist services is a nonprofit entity as described in section 501(c)(3) of the internal revenue code and is exempt from federal and state income taxes. Accordingly, there is no provision for income taxes. Methodist services is not aware of any activities that would jeopardize its tax-exempt status or any activities that are subject to tax on unrelated business income taxes. Methodist services follows the guidance in the income tax standard regarding the recognition and measurement of uncertain tax positions. The guidance clarifies the accounting for uncertainty in income taxes recognized in an entity's financial statements. The guidance further prescribes recognition and measurement of tax provisions taken or expected to be taken on a tax return that are not certain to be realized. The application of this standard had no impact on ms's financial statements. Methodist services' income tax returns are subject to review and examination by federal, state and local authorities.

USING NURTURING PARENTING AND IFP CURRICULA AND TOOLS, IN ADDITION TO INTERACTIVE GROUP SETTINGS, PARENT, GRANDPARENT, GUARDIAN AND FAMILY CAREGIVERS WORK DILIGENTLY TO LEARN EFFECTIVE PROBLEM SOLVING, THE STAGES OF CHILDHOOD DEVELOPMENT, AND THE CAPABILITIES AND VULNERABILITIES OF THE BRAIN. PARENTS ARE ENCOURAGED TO BUILD HEALTHY RELATIONSHIPS WITH THEIR CHILDREN, DEVELOP STRATEGIES FOR SPENDING QUALITY ONE-ON-ONE TIME AND CREATE OPPORTUNITIES TO GROW AS A FAMILY. CAREGIVERS ARE GIVEN INFORMATION REGARDING CHILDREN'S EDUCATIONAL RESOURCES AVAILABLE IN THE REGIONAL SCHOOL SYSTEM. CASE MANAGEMENT FOR DESIGNATED COMMUNITY SCHOOLS - SUPPORTS ATTENDANCE INITIATIVES BY IDENTIFYING AND REMOVING BARRIERS TO REGULAR SCHOOL ATTENDANCE AND SUPPORTING STUDENTS AND FAMILIES VIA EXPEDITED, SHORT-TERM INTERVENTIONS FOR STUDENTS WHO HAVE 3+ UNEXCUSED ABSENCES.
