“The academy shall have the following members: broad based members shall be those societies and organizations that support the academy by contributing for each fiscal year, an amount equal to the broad based member annual contribution, which amount will be determined by a vote of the board of directors from time to time. Regular members shall be those societies and organizations that support the academy by contributing for each fiscal year, an amount equal to the regular member annual contribution, which amount will be determined by a vote of the board of directors from time to time. Supporting members shall be only those societies and organizations in imaging who are committed to the academy's purposes as outlined in article ii, pay the dues for supporting members in the amount established by the board of directors from time to time, and are accepted into supporting membership by the board of directors. Supporting organizations shall be only those societies and organizations committed to the academy's purposes as outlined in article ii that are designated as supporting organizations by the board of directors. Supporting organizations are not required to make regular financial contributions to the academy, and are invited by the board of directors to send one representative to attend, but have no voting rights, each meeting of the board of directors.”

“The board of directors shall consist of two representatives elected by each organization qualifying as a broad based member of the academy, one representative elected by each organization qualifying as a regular member of the academy, two representatives from the academy academic council, two representatives from the coalition for imaging and bioengineering research (cibr), and two representatives from the academy distinguished investigator council (one basic researcher and one clinical scientist).”

“The academy 990 is always available upon request and shared with the board of directors before its filing in their annual materials available in their online password protected webpages.”

“The conflict of interest policy applies to the academy's board of directors, other committees and task forces in the academy's governance structure and to the academy's key employees. On an annual basis, all individuals covered by the policy are provided with a copy of the policy and required to complete and sign an acknowledgement and disclosure form.”

“The academy entered into an employment agreement with its executive director effective october 2010, and most recently in 2017. The academy relied on comparability data when entering into the 2010 agreement and took it into account for the 2017 agreement. The executive director's employment agreement and compensation is contemporaneously documented and approved by the president.”

“The academy's management considers making its governing documents, conflict of interest policy, and financial statements available to the public upon receiving such a request in compliance for the period of disclosure as set forth in section 6104(d).”
