Governance Explanations

Form 990, Part VI, Line 3: Description of Delegated Duties to Management Company

The operations of the apartment community are managed by Barr Residential & Development, LLC (BRD). BRD is a professional property management company. BRD has a project owner's and management agent's certification for multifamily housing projects with the U.S. Department of Housing and Urban Development (HUD). Under this certification, HUD has approved BRD to manage the apartment community.

Form 990, Part VI, Line 11B: Form 990 Review Process

The Board of Directors reads and reviews Form 990 prior to approving the return for filing with the IRS.

Form 990, Part VI, Line 12C: Explanation of Monitoring and Enforcement of Conflicts

The Board delegates operation of the apartment community to the management agent, which operates the community to comply with HUD and OMB regulations governing conflicts of interest and related party transactions. The management agent is accountable and reports to both the Board of Directors and to HUD.

Part X : FIN48 Footnote

Accounting for uncertainty in income taxes: The Corporation is exempt from federal and state income tax under Section 501(c)(3) of the Internal Revenue Code and under a similar statute in the state of North Carolina. Accordingly, no provisions for federal and state taxes on revenue and income, or related penalties and interest, have been recognized in the accompanying financial statements. At June 30, 2017, the Corporation's tax returns for tax years 2014 through 2016 remained open for examination.
