Governance Explanations

Form 990, Part VI, Section A, Line 1

The board of directors may by resolution designate an executive committee consisting of not less than five and not more than seven directors and may delegate to such committee the powers and authorities of the board in the management of the business and affairs of the corporation, to the extent permitted, and except as may otherwise be provided, by provisions of law. The committee shall keep full and fair records and accounts of its proceedings and transactions. The minutes of the executive committee shall be distributed to all members of the board of directors.

All new board members and employees are given the organization's conflict of interest disclosure policy and are required to sign the conflict of interest disclosure statement. If a conflict arises, the chief executive director (ceo) is engaged to determine if there is a conflict of interest. If it is determined that there is a conflict of interest, the ceo will present the matter to the chair of the board of directors for a final determination. The conflicted party is expected to be involved in the discussion.

The global fund for children has a subset to the board that reviews the salary of the ceo on an annual basis. Factors that influence their decision include: 1) comparison to peer organizations, 2) the organization's overall performance during the preceding fiscal year, and 3) any additional relevant items. The finance and audit committee of the board reviews and authorizes proposed compensation increases for officers (vp's) of global fund for children. The most recent year in which the process included a review was fiscal year ending, june 30, 2016.

Financial Statement Notes

PART V, LINE 4:

The permanent endowment funds are to be held by global fund for children in perpetuity. The temporarily restricted endowment funds are used in accordance with the donors' restrictions. During the year ended june 30, 2015, the permanent restricted corpus was released by the donors to support the ongoing operations.

PART X, LINE 2:

Global fund for children has adopted the guidance in the income tax standard regarding the recognition and measurement of uncertain tax positions. The implementation of this guidance had no impact on global fund for children's financial statements. Global fund for children believes it has appropriate support for unrelated trade or business positions and, as a result, does not have uncertain income tax positions that have a material impact on the financial statements. Global fund for children files as a tax-exempt organization.
