Form 990 is prepared by CPA Firm in connection with the annual audit and reviewed with management and the board prior to filing.

Form 990, Part VI, Section B, line 12C

At such time any matter should come before the board or any of its committees in such a way to give rise to a conflict of interest, the affected member shall make known the potential conflict and, if advisable, withdraw from the meeting for so long as the matter shall continue under discussion, except to answer any questions that might be asked. Should the matter be brought to a vote and the affected member fail to withdraw voluntarily, the chairman of the board or any of its committees shall require that the member remove himself from the room during the discussion and vote on the matter.

Form 990, Part VI, Section B, line 15

The CCHA bylaws establish an annual review and evaluation of the Chief Executive Officer's performance. The Executive Committee has general oversight of the Alliance's human resource plan and is responsible for the President's annual review. A competent salary survey was conducted and checked every three years to benchmark compensation for this position with other like sized alliances around the country. The survey is updated periodically to insure its validity. The Executive Committee also conducts an annual board performance survey to evaluate performance relative to the position description and the goals/objectives established for the year. During these annual deliberations, the Executive Committee considers input obtained from other board members, staff and professional advisors. Once a consensus is reached regarding performance, a similar discussion is held concerning compensation relative to annual benchmark and established objectives. The Executive Committee presents its findings and recommendations, in an executive session without the chief executive present, to the full board for review and approval. The Executive Committee and/or the board chair (a member of the Executive Committee) then meet with the chief executive to discuss and document strengths, weaknesses, and goals for the upcoming year. Compensation and bonus potential (salary at risk) for the upcoming year are also discussed and documented. The Chairman of the CCHA board maintains the official personnel file for the Chief Executive and documents any changes in salary or compensation to the CCHA Director of Administrative Services for payroll and accounting purposes.

Financial Statement Notes

Part X, Line 2:

Accounting principles generally accepted in the United States of America require Coastal Carolinas Health Alliance's management to evaluate tax positions taken by Coastal Carolinas Health Alliance and recognize a tax liability (or asset) if Coastal Carolinas Health Alliance has taken an uncertain position that more likely than not would not be sustained upon examination by the Internal Revenue Service. Coastal Carolinas Health Alliance has analyzed the tax positions taken and has concluded that as of September 30, 2022, there are no uncertain positions taken or expected to be taken that would require recognition of a liability (or asset) or disclosure in the financial statements. Coastal Carolinas Health Alliance is subject ot routine audits by taxing jurisdictions. However, there are currently no audits for any tax periods in progress. Coastal Carolinas Health Alliance believes it is not subject to income tax examinations for years prior to 2018.

Coastal Carolinas Health Alliance has analyzed the tax positions taken and has concluded that as of September 30, 2022, there are no uncertain positions taken or expected to be taken that would require recognition of a liability (or asset) or disclosure in the financial statements. Coastal Carolinas Health Alliance is subject ot routine audits by taxing jurisdictions. However, there are currently no audits for any tax periods in progress. Coastal Carolinas Health Alliance believes it is not subject to income tax examinations for years prior to 2018.
