Governance Explanations

The finance officer, executive director, and the finance committee review the return before the return is signed and filed.

Form 990, Part VI, Section B, Line 12C

The foundation collects information from board members about their affiliations and spousal affiliations on a yearly basis, and asks them to review and sign the conflict of interest policy anew each year. Management reviews grant applications from entities seeking funding from the foundation and compares its current board list with health foundation board members, and makes note of any conflicts that exist during the review process. The conflict is thus made known to all members of the program committee, who make recommendations to the full board. Any conflict is stated at that time, and the chairman asks if any other conflicts exist. Members who have a conflict of interest are asked to leave the room for the vote. The same process is followed for real estate contracts and negotiations. There is also a state and expected onus of reponsibility put on board members to disclose any conflicts we may be unaware of. All of the above applies to management and staff as well.

Form 990, Part VI, Section B, Line 15

The personnel committee, consisting of the officers and at-large members of the executive committee, are independent members of the board of directors of the health foundation, inc and are responsible for determining the compensation of the executive director and staff on an annual basis. The committee, in conversation with the executive director, determines yearly goals in the areas of fundrasing, administration, communications, community relations, leadership and planning, records maintenance, and other areas as deemed fit by the board of directors. Current compensation is compared to the most currently available salary reports, as prepared by various professional associations of not-for-profit entities. The chairman of the committee references the director's and staff salaries taking into consideration budget size, type of institution, number of employees supervised, years of experience, region, cost of living changes, highest level of education, and professional designations achieved. The committee deliberates outside the presence of the director and staff and then makes its salary recommendations to the full board. After discussion, approvals are made and the director notified. The health foundation, inc has adopted the association of fundraising professionals code of ethical conduct and therefore does not provide percentage based commissions or bonuses based solely on fundraising goals to the executive director.

PART X, LINE 2:

The organization is a nonprofit corporation as described in section 501(c)(3) of the internal revenue code. In addition, the organization qualifies for the charitable contribution deduction under section 170(b)(1)(a) and has been classified as an organization that is not a private foundation under section 509(a)(2). It is the organization's policy to evaluate all tax positions to identify any that may be considered uncertain. All identified material tax positions are assessed and measured by a "more-likely-than-not" threshold to determine if the tax position is uncertain, and what, if any, effect the uncertain tax position may have on the financial statements. No material uncertain tax positions were identified for the 2024 or 2023 tax years. Currently, the statute of limitations remains open subsequent to 2021; however, no examinations are in progress or anticipated. Any changes in the amount of a tax position will be recognized in the period the change occurs.

WILKES COUNTY ALSO EXPERIENCES SHORTAGES OF HEALTH PROFESSIONALS AND THIS PROVIDES AN ENTRY POINT TO RECRUIT HEALTH CARE PROFESSIONALS, WHICH IN TURN, INCREASES ACCESS TO CARE IN A RURAL, UNDERSERVED COMMUNITY.

THIS INCLUDES THE CREATION OF A CRISIS INTERVENTION TEAM TO ALIGN EMS AND LAW ENFORCEMENT RESPONSES TO 9-1-1 AND 9-8-8.THE OUTDOOR ECONOMY WORKING GROUP, A BROAD CROSS-SECTOR COLLABORATIVE IMPLEMENTING A 15-YEAR OUTDOOR INFRASTRUCTURE PLAN TO IMPROVE UPWARD ECONOMIC MOBILITY, ENHANCE OUTDOOR AMENITITES, AND ATTRACT RESIDENTS AND VISITORS TO PARTAKE IN OUTDOOR RECREATION ACTIVITIES.

THE THRIVING MEDICAL PARK HAS A VARIETY OF TENANTS INCLUDING PRIMARY MEDICAL CARE, MEDICAL SPECIALISTS, DENTAL CARE, AND SOCIAL SUPPORT SERVICES. THE SITE ALSO CONNECTS TO THE YADKIN RIVER GREENWAY AND HOSTS A PRE-SCHOOL PLAYGROUND AND AN ADULT EXERCISE EQUIPMENT ZONE. IN ADDITION, WE ENGAGE IN FUNDING STRATEGIES THAT PROMOTE ACCESS TO CARE IN OTHER LOCATIONS AND THROUGH BOTH MOBILE AND TELEMEDICINE.
