If any Board or committee action involves a conflict of interest, that member shall not participate in the discussion except to disclose facts and respond to questions. Such a person is ineligible to vote on the matter and shall not be counted in determining the presence of a quorum. He/she shall not exert his/her personal influence either at or outside the meeting.

In the annual budgeting process, the Board approves a budget line for aggregate salary expense. Thereafter, individual salaries and salary increases for employees are determined by the Executive Director. The Board of Directors sets the Executive Directors salary after a check of comparable salary information for similar organizations with similar budgets.
