Mission

The Foundation's mission is to eliminate preventable infant

The Foundation's mission is to eliminate preventable infant death and illness in N.C. To do this, we focus on improving the health of women of childbearing age and supporting new parents. We provide statewide leadership for reducing sleep-related infant deaths. Programs build the capacity of community-based organizations working with families and make information and resources available to the public.

Additional Explanations

Pt VI, Line 12C

During new director/staff orientation, the new director/staff is given a copy of the agency's conflict of interest policy, conflict of interest procedure, and annual questionnaire. The questionnaire is completed and returned to the Executive Director who keeps it on file. At the beginning of each fiscal year, the Executive Director sends an updated annual questionnaire to all directors/staff. Completed questionnaires are reviewed by the Executive Director and filed at the agency's office. To date, no director or key executive has identified a conflict of interest.

Pt VI, Line 11B

The Form 990 was prepared by the Foundation's accountant and the Executive Director. It was reviewed by the external audit firm that conducts the Foundation's annual audit and then sent to members of the Audit Committee of the Board of Directors for final review. The Audit Committee includes the current Board Treasurer (Committee Chair), the current Board Chair, the Vice Chair, and one Director. Prior to filing the Form 990, the document is sent electronically to all Board members.

Pt VI, Line 19

The Foundation keeps hard copies of its governing documents, conflict of interest policy and financial statements (including audit reports) at its office where they are available to the public upon request. Copies of the conflict of interest policy and the annual audit report are given to granting agencies on an annual basis as required.

Pt VI, Line 15A

The annual recommendation regarding compensation for the Executive Director is made by the Chair of the Board of Directors after a face-to-face review of the Executive Director's accomplishments and performance. The recommendation is brought to the full Board or the Executive Committee for discussion without the Executive Director present. The discussion and decision is substantiated contemporaneously by the Board Chair who documents the minutes of this Executive session in writing.

In 2006, the Financial Accounting Standards Board (FASB) released FASB ASC 740-10, Income Taxes, that provide guidance for reporting uncertainty in income taxes. For the year ended June 30, 2015, the Foundation has considered FASB ASC 740-10, as amended by Accounting Standards Update (ASU) 2009-06, and determined that no material uncertain tax positions qualify for either recognition or disclosure in the financial statements. Tax years 2012-2014 remain open at June 30, 2015.

The questionnaire is completed and returned to the Executive Director who keeps it on file. At the beginning of each fiscal year, the Executive Director sends an updated annual questionnaire to all directors/staff. Completed questionnaires are reviewed by the Executive Director and filed at the agency's office. To date, no director or key executive has identified a conflict of interest.
