The members have reserved powers requiring their approval of the organization's mission, bylaws, articles of incorporation, appointment and removal of directors, appointment and removal of the ceo, mergers, corporate liquidation, alienation of significant corporate assets, sale of significant assets, budget approval and approval of financial transactions over a certain threshold, approval of bankruptcy, legal actions, and other items that may be required by civil or canon law.

It is a policy of catherine's house, inc., that management staff, employees and or members of the board of directors of catherine's house, inc., shall avoid conflicts of interest and any conduct which may suggest the appearance of impropriety in the disbursement of state, federal and/or local funds. If a potential conflict of interest should arise, the management staff member, employee or board member must disclose the potential conflict to the board of directors. Further, the management staff member, employee or board member shall not vote on nor participate in the solicitation, negotiation, formation, award arbitration, modification, or settlement of any contract or grant involving any state funds or of any dispute arising under such contract or grant when the management staff member, employee, or board member stands to benefit, either directly or indirectly, from such contract or grant. A management staff member, employee or board member is not deemed to benefit directly or indirectly from a contract or grant involving any state, federal, and/or local funds if he or she receives only the salary or stipend due to him or her in the normal course of employment with or service to catherine's house, inc. All management staff members, employees and board members shall receive written notification of this policy.

PART X, LINE 2:

The organization is exempt from federal income tax and applicable state statutes under the provisions of section 501(c)(3) of the internal revenue code ("irc"). In accordance with irc regulations, the organization is taxed on unrelated business income, which consists of earnings from activities not related to the exempt purpose of the organization. The organization accounts for tax uncertainties based on a more likely than not recognition threshold, whereby tax benefits are only recognized when the organization believes that they have a greater than 50% likelihood of being sustained upon examination by taxing authorities. The organization has evaluated all its tax positions and determined that it had no uncertain income tax positions as of june 30, 2015.

FOR CHILDREN THERE WERE 2,297 NIGHTS OF CARE (MAXIMUM CAPACITY IS 3,650) PROVIDED WHICH RESULTED IN AN OCCUPANCY LEVEL OF 63% BASED ON 10 BEDS AVAILABLE FOR CHILDREN.
