Governance Explanations

Form 990, Part VI, Section A, Line 7A

The foundation has its own dedicated board of directors. The executive committee is comprised of those who serve as the executive committee of the association board of directors (to provide continuity in leadership). All foundation board members are appointed by the association leadership and per the by-laws, the board must have no more than 20 persons serving at one time with 75% being comprised of realtor members and 25% being comprised of community leaders. The community leaders represent the following areas of the community at-large: corporate, faith, housing non-profits, builder / construction and finance. The foundation's board also includes the chairman of the housing opportunity foundation committee, who reports on behalf of all committee activity and is appointed by the association's president and approved by the association's board of directors.

Form 990, Part VI, Section B, Line 11B

The form 990 is reviewed in detail by the foundation's executive director, cfo and ceo. A draft is shared and reviewed with the board of directors prior to filing. The public disclosure version is also posted for association members to login and review as well and is available upon request to the general public.

Form 990, Part VI, Section B, Line 12C

On an annual basis, the conflict of interest policy is reviewed by the board of directors and other housing opportunity foundation ("hof") leaders. The policy requires them to immediately disclose all facts material to any actual or potential conflicts of interest at the outset of any discussion by hof pertaining to the business. Any potential or actual conflicts of interest are reviewed and evaluated by hof leadership. Hof leadership determines the appropriate steps necessary to alleviate, monitor and deal with conflicts, such as restricting the actions of persons with a conflict by prohibiting them from participating in the governing body's deliberation and decisions for a particular issue.

The foundation is exempt from federal and state income taxes on income related to its tax-exempt purpose under section 501(c)(3) of the internal revenue code (the code) and applicable state statutes. The foundation is liable for federal and state taxes on any unrelated business income, as defined in the code. The foundation follows financial accounting standards board (fasb) guidance on accounting for uncertainty in income taxes. The foundation's policy is to record a liability for any tax position taken that is beneficial to the foundation, including any related interest and penalties, when it is more likely than not the position taken by management with respect to a transaction or class of transactions will be overturned by a taxing authority upon examination.

IN ADDITION, TWO SEPARATE FOOD DRIVES WERE HELD IN CONJUNCTION WITH THE PROJECT WITH MORE THAN 7,000 LBS OF FOOD COLLECTED FOR AREA FOOD PANTRIES. IN SELECTING WORK SITES, THE FOUNDATION WORKS WITH LOCAL HOUSING PARTNERS SUCH AS HABITAT AND LOCAL MUNICIPALITIES TO IDENTIFY ELIGIBLE HOMEOWNERS, WHO THEN GO THROUGH A DETAILED APPLICATION AND VERIFICATION PROCESS. SINCE ITS INCEPTION 15 YEARS AGO, THIS PROJECT HAS ASSISTED 331 FAMILIES AND NON-PROFIT ORGANIZATIONS.

IN ADDITION TO THE GRANT FUNDING, THE FOUNDATION HONORS AN INDIVIDUAL, PROJECT OR ORGANIZATION THROUGH ITS ANNUAL HUMANITARIAN AWARD ($5,000)- ; AS PART OF THAT HONOR, THE RECIPIENT IS ASKED TO DESIGNATE A NON-PROFIT TO RECEIVE A CONTRIBUTION IN THEIR HONOR. IN 2024, THE ORGANIZATIONS CHOSEN AS RECIPIENTS OF THE HONOR WERE WINE TO WATER WHICH RECEIVED $2,500, AN ORGANIZATION DEDICATED TO PROVIDING CLEAN WATER SOURCES TO DEVASTATED COMMUNITIES IN NEED. THE OTHER ORGANIZATION AWARDED $2,500 WAS LAKE NORMAN HUMANE TO ASSIST THEIR RESCUE WORK WITH DISPLACED ANIMALS AS A RESULT OF HURRICANE HELENE. IN 2019, THE FOUNDATION LAUNCHED THE YOUTH EXCELLENCE IN SERVICE AWARD (YES) TO HONOR EXTRAORDINARY YOUTH FOR THEIR CHARITABLE CONTRIBUTIONS TO THE COMMUNITY.
