The 990, along with a summary of key elements and disclosures, is presented to the board during a regular board meeting inviting questions and comments prior to filing.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy is distributed and discussed with all employees at general orientation. Employees are required to sign an acknowledgement indicating they have received and read the policy. Periodically at staff meetings, the policy is reviewed. Annually, the board of directors must sign an acknowledgement indicating that they have received and read the policy. All board members are required to disclose any conflict of interest and recuse themselves from input, decision making or voting related to the conflict.

Form 990, Part VI, Section B, Line 15

The board of directors is responsible for determining compensation for the ceo. The board members consult market surveys and industry standards. The ceo, the cfo and the human resources department are jointly responsible for determining all other compensation in the same manner that compensation for the ceo is determined. Salaries are intended to be competitive with area salaries and are based on available funds. Generally, increases are limited to a maximum % as determined by management, although occasional market rate adjustments are required.

In october 2013, the organization formalized the existing dementia care services into the dementia support services program. This program consists of broad community education, as well as private consultations with patients and families. Services are provided by a nationally-recognized occupational therapy expert in dementia care and a specially trained social worker.

The intended use of the endowment funds is to provide long-term stability for the organization and provide operating funds if needed.

PART X, LINE 2:

Hospice of alamance-caswell foundation, inc. Is a not-for-profit corporation as defined in section 501(c)(3) of the internal revenue code (the "code") with exemption from federal income taxes on related income pursuant to section 501(a) of the code, and is not a private foundation. It receives refunds of north carolina sales tax and is exempt from property taxes on its real estate and equipment. Hospice and palliative care center of alamance-caswell, llc is a single member limited liability company, and is considered a disregarded entity for tax purposes. The organizations income tax returns are subject to review and examination by federal and state authorities. The organization is not aware of any activities that would jeopardize its tax-exempt status. The fiscal years 2011, 2012 and 2013 tax returns are open for examination by federal and state taxing authorities. The organization follows guidance in the income tax standard regarding the recognition and measurement of uncertain tax positions. The guidance has had no impact on the organizations consolidated financial statements.
