Initially, the finance committee reviews the form 990. When approved by the finance committee, the form 990 is forwarded to the entire board of directors. The board of directors reviews and approves the form 990 before filing.

Form 990, Part VI, Line 12C: Explanation of Monitoring and Enforcement of Conflicts

Board members and grant panel members are asked to sign an annual conflict of interest statement. Those members with conflicts of interest are asked to recuse themselves before discussion and voting on matters in which they have a conflict of interest.

Form 990, Part VI, Line 15A: Compensation Review & Approval Process - CEO, Top Management

The president & ceo reports to the board of directors. The executive committee sets the annual salary for the president & ceo using comparability studies of other non-profit entities. The recommended compensation is included in the annual budget, which is approved by the entire board of directors.

The organization's financial statements are prepared on the cash basis of accounting, which is an accounting method other than generally accepted accounting principles. The cash basis financial statements are compiled by an independent accountant and audited by a separate independent accountant.

Financial Statement Notes

Part X : FIN48 Footnote

The Organization is recognized as a tax-exempt organization as defined in Section 501(c)(3) of the U.S. Internal Revenue code and is generally exempt from federal income taxes on related income pursuant to Section 501(a) of the U.S. Internal Revenue Code as a public charity. Accordingly, no provision for income taxes is made in the financial statements. Likewise, the Organization is exempt from state income taxes under North Carolina G.S.105-130.11(a)(5).The Organization's forms 990 are subject to examination by the Internal Revenue Service generally for three years after they were filed.
