Governance Explanations

Form 990, Page 6, Part VI, Line 11B

The board of directors review form 990 at next meeting and management internally reviews it.

Form 990, Page 6, Part VI, Line 12C

Officers, directors, and key employees must sign a conflict of interest policy annually and report any potential conflicts of interest.

Form 990, Page 6, Part VI, Line 15A

The executive committee looks at the executive director's compensation and makes a recommendation for a raise. It is usually about a 3% raise. Salary surveys are used to make sure the compensation is in line with other non-profits. The indirect cost budget is also reviewed to make sure the raise is affordable.

Form 990, Page 6, Part VI, Line 15B

The executive director reviews compensation for all key employees and decides raises based on job responsibilities, length of service, wage surveys, etc. Biggest consideration is always what can be afforded on a per program basis.

Form 990, Page 6, Part VI, Line 19

Governing documents are available to staff, funding sources and board members as needed. Conflicts of interest policy is available to each staff person, board of director, and funding source as required. Financial statements are available to the same individuals and organizations. The annual audit report is available to anyone who requests.
