Governance Explanations

Form 990, Part VI, Line 15 PROCESS TO ESTABLISH COMPENSATION

Compensation is based on salary studies obtained from third parties. Compensation studies include review of appropriate salary ranges based on position descriptions and responsibility level in comparison to similar positions in the council's geographic region. The council reviews compensation and benefits surveys of other nonprofit organizations and obtains compensation information from other sources. In addition, salaries, wages and benefits costs are budgeted expenses which are reviewed annually by the finance committee and the board of directors.

Form 990, Part VI, Line 1A Delegate broad authority to A committee

The executive committee consists of the officers of the board of directors. The executive committee has the powers of the board in the interim between meetings except they may not adopt the budget; authorize distributions; recommend to members or approve dissolution, merger or the sale, pledge or transfer of substantially all of the corporation's assets; elect, appoint or remove directors or fill vacancies on the board or its committees; adopt, amend or repeal the articles of incorporation or bylaws; or take any action which is contrary to, or a substantial departure from, the direction established by the board, or which represents a major change in the affairs, business or policy of the council.

The council's membership includes council delegates elected by county constituencies, officers and directors of the corporation, members of the board development committee, national council delegates, former chairs of the board of directors of the council as well as its legacy councils living within the council jurisdiction.

Form 990, Part VI, Line 7A Members or stockholders electing members of governing body

As outlined in the bylaws, all governing board members are elected at the council's annual meeting by the delegate members.

Form 990, Part VI, Line 7B Decisions requiring approval by members or stockholders

Members of the council shall: a. Elect the officers of the council; the members of the board of directors; the members of the council board development committee; and, as necessary, the national council delegates and national council delegate alternates. B. Determine general lines of direction for girl scouting within the jurisdiction of the council by receiving and responding to reports and information from the board of directors. C. Initiate proposals for consideration by the board of directors. D. Amend the articles of incorporation and bylaws. E. Take all other action requiring a membership vote. F. Conduct such other business as may come before the members.

Form 990, Part VI, Line 11B Review of form 990 by governing body

Annually the audit committee meets with the independent audit firm to review the completed form 990. After it has been approved by the audit committee, the board of directors are provided an opportunity to review it prior to it being filed with the irs.

Form 990, Part VI, Line 12C Conflict of interest policy

All officers, directors, and key employees are required to complete a conflict of interest disclosure form when elected or hired, and annually thereafter. If a potential conflict arises during the year, it is the stated responsibility of the individual to bring the conflict to the attention of the appropriate person. The disclosures are reviewed by the board chair, the ceo, cfo, and manager as applicable and are then brought to the audit committee of the board to review and for further action if required. In the event of a potential conflict, that person will recuse themselves from all discussions and/or votes relating to their conflict of interest.

Schedule D, Part II, Line 5 WRITTEN POLICY REGARDING CONSERVATION EASEMENT

The council currently does not have a written policy based on the nature and location of the easement. The easement is on wetlands and a full-time staff person lives on the adjoining property. Any violations of the easement would be reported immediately to the council ceo. The land is inspected annually by the three rivers land trust based on the terms and conditions of the conservation easement.

There has been no impact on the organization's financial statements this year other than salary related expenses of the staff person who monitors the property, of management who worked with the easement holder to update easement agreements, and associated legal fees.

The organization's endowment funds provide long-term support for its ongoing programs.

It is the council's policy to evaluate all tax positions to identify those that may be considered uncertain. All identified material tax positions are assessed and measured by a more-likely-than-not threshold to determine if the benefit of any uncertain tax position should be recognized in the financial statements. Management believes the council continues to satisfy the requirements of a tax-exempt organization at september 30, 2025 and 2024. Management has evaluated all other tax positions that could have a significant effect on the financial statements and determined the council had no uncertain income tax positions at september 30, 2025 and 2024 and, accordingly, no liability has been accrued. Any changes in the amount of a tax position are recognized in the period the change occurs.

IRS990/Desc0The Girl Scout Leadership Experience-Girl Scouts is the premier inclusive leadership development organization for youth. With a mission to build individuals of courage, confidence, and character who make the world a better place, Girl Scouts gives participants the tools and confidence to lead boldly, solve challenges creatively, and advocate for change in their communities and beyond. Through hands-on activities, Girl Scouts gain life skills, explore new interests, and develop a strong sense of self. Girl Scouts - North Carolina Coastal Pines (GS-NCCP) is one of 111 Girl Scout councils across the country, serving 41 counties in central and eastern North Carolina. We take pride in reflecting the communities we serve, with nearly 38% of our members identifying as racially or ethnically diverse. In 2024-2025, GS-NCCP supported 17,407 Girl Scouts, including 11,460 participants who thrived as part of Girl Scout troops. Through the Girl Scout Leadership Experience, Girl Scouts unlock their potential while participating in activities centered on STEM, the outdoors, life skills, leadership, and entrepreneurship. From learning through the Girl Scout Cookie Program to advocating for causes they care about, every experience builds courage and new skills. Across the council, members participated in 113 council-sponsored events, which welcomed 3,820 youth and 1,779 adults for opportunities like badge workshops, outdoor adventures, service projects, and celebrations of Girl Scout traditions. Camping remains a cornerstone of the Girl Scout experience, providing opportunities to connect with nature, build teamwork, and make lifelong memories. In 2024-2025, 787 Girl Scouts attended resident camp, where they honed outdoor skills and created unforgettable moments with peers. Volunteer-led day camps reached 630 campers, and specialized troop camping events allowed small groups to engage in unique, tailored outdoor experiences. To ensure all Girl Scouts have access to programming, GS-NCCP utilizes mobile program vehicles to deliver hands-on activities directly to communities. This year, these vehicles completed 228 visits, serving 2,494 Girl Scouts and 792 adults who might not otherwise have had the chance to engage with Girl Scout programming. Through this initiative, participants discovered new passions, developed practical skills, and expanded their horizons. STEM remains a vital part of Girl Scout programming. In 2024-2025, 1,820 participants explored topics like coding, robotics, and environmental science, opening doors to careers and fields where Girl Scouts can become future innovators and leaders. From tinkering with cutting-edge technology to experimenting with sustainable solutions, Girl Scouts gained valuable exposure to real-world applications of science and problem-solving. Earning one of Girl Scouting's Highest Awards is a life-changing experience that demonstrates leadership, commitment, and creativity. In 2024-2025, 47 Girl Scouts earned the prestigious Gold Award by spearheading impactful community projects that matter to them. Additionally, 181 middle schoolers earned the Silver Award, and 398 elementary-aged participants achieved the Bronze Award. These awards represent a legacy of Girl Scouts taking initiative, solving community challenges, and inspiring others to take action. At its core, Girl Scouts is about creating a safe space for participants to grow into leaders, innovators, and advocates. Whether they're engaging in community service, hiking under the stars, launching a business idea, or solving real-world challenges, Girl Scouts offers the building blocks for a lifetime of success.
