Governance Explanations

Form 990, Part VI, Line 15

Atrium health has an approved compensation committee that retains independent experts to design complete compensation packages. The compensation committee reviews comparabiligy data, reviews executive officers' performance and recommendations for senior officers. Executive compensation is approved and an official report is given to the board along with documentation in the minutes of meetings. The compensation package is then presented to the st. Luke's hospital board to modify and approve, in line with st. Luke's compensation strategies.

Form 990, Part VI, Line 1A Delegate broad authority to A committee

The executive committee is composed of the following memebers: board chair, vice chair, secretary, treasurer, chief medical officer and immediate past chair. When the board is not in session, the executive committee shall have the power to transact all regular business of the corporation, subject to any prior limitations imposed by the board of by statue. The executive committee shall not take any action that conflicts with established policies of the board and it shall defer, when possible, all matters of major importance to the board.

Form 990, Part VI, Line 11B Review of form 990 by governing body

A copy of the form 990 will be made available to each voting board member for review prior to a request for a vote. After the board members have had an opportunity to review and all questions have been answered satisfactorily, the board will be asked to vote to approve for submission.

Form 990, Part VI, Line 12C Conflict of interest policy

Any trustee, board member, officer or committee member having an interest in a contract or other transaction presented to the board or a committee thereof for authorization, approval, or ratification shall make a prompt, full and frank disclosure of his/her interest to the hospital board or board committee prior to its acting on such contract or transaction. Such disclosure shall include any relevant and material facts known to such person about the contract or transaction which might reasonably be construed to be adverse to the corporation's interest. The body to which such disclosure is made shall thereupon determine, by simple majority vote of voting members, whether the disclosure shows that a conflict of interest exists or can reasonably be construed to exist. If a conflict is deemed to exist, such person disclosing the conflict shall not vote on, nor use his/her name or influence on, nor participate (other than to present factual information or to respond to questions) in the discussions or deliberations with respect to such contract or transaction. A conflict of interest policy is signed annually by each trustee. A conflict of interest exists whenever an individual could benefit from others, directly or indirectly, from access to information or from a decision over which they might have influence,or, where someone might reasonably perceive there to be such a benefit and influence. Conflicts of interest (real and perceived) are unavoidable and should not prevent an individual from serving as a director or staff member unless the extent of the interest is so significant that the potential for divided loyalty is present in a large number of situations.

(CONTINUED ON SCHEDULE O)COMMITMENT TO THIS MISSION REQUIRES BOTH AN INVESTMENT IN AND A PARTNERSHIP WITH THE COMMUNITY WHICH ST. LUKE'S SERVES. ST. LUKE'S HOSPITAL DEFINES AND MEASURES THIS INVESTMENT IN AND PARTNERSHIP WITH THE COMMUNITY USING THE FOLLOWING CATEGORIES OF COMMUNITY BENEFIT:COMMUNITY BENEFIT PROGRAMS -- INCLUDES THE UNREIMBURSED COST OF VARIOUS EDUCATION PROGRAMS, NON-BILLED MEDICAL SERVICES, IN-KIND DONATIONS AND OTHER SERVICES THAT MEET A STRONG COMMUNITY NEED, BUT DO NOT PAY FOR THEMSELVES. EXAMPLES OF THESE COMMUNITY BENEFIT PROGRAMS INCLUDE WEEKLY HEALTH TOPIC NEWSPAPER ARTICLES; VARIOUS HEALTH AND CANCER SCREENING FOR PEOPLE WHO ARE UNDERINSURED AND UNINSURED; AND FIRST AID AND HAND HYGIENE STATIONS AT VARIOUS COMMUNITY EVENTS AND FESTIVALS.COMMUNITY HEALTH WORKER PROGRAM -- THE DUKE ENDOWMENT PROVIDES A GRANT TO THE HOSPITAL TO FUND OUR COMMUNITY HEALTH WORKER (CHW) PROGRAM.
