“The Coalition entered into a management agreement with The Furman Group (TFG). TFG provides management, legislative, administrative and other related services to the Coalition. TFG is owned by Hal Furman, NWSC Executive Director. There were no payments made or accrued during the year between the Coalition and TFG.”

“The Coalition is a trade association consisting of members from public water agencies and utilities throughout the nation.”

“Each Voting Member shall be entitled to appoint one director. A director shall be an elected board member of the appointing Voting Member agency or a senior level staff manager within such agency.”

“Whenever any corporate action is to be taken by vote of the Members, it shall, except as otherwise required by law or by the Articles of Incorporation or the Bylaws, be authorized by a majority of the votes cast at a meeting of Members by the Voting Members entitled to vote thereon.”

“A draft Form 990 is reviewed by the Furman Group (management company) employee before filing.”

“The Board has adopted a conflict of interest policy which each Director has reviewed. In the event that a conflict or potential conflict arises, that Director must bring the conflict or potential conflict to the attention of the full Board. Responsibility lies with each Director to bring any potential conflicts to the Board's attention.”

“The organization make its governing documents, conflict of interest policy, and financial statements available to the public upon request.”
