“The organization's bylaws were amended on november 10, 2018 to change the membership of the board to the following: a) the president of each active civitan club in good standing in the chesapeake district or other representative designated by such club; b) the officers of the chesapeake district of civitan international; c) the elected officers of the foundation; and d) the past presidents of the foundation who are current chesapeake district members in good standing. Previously, each civitan club was represented by two delegates. Other changes to the bylaws were minor updates in language to comply with state laws and expanding the officers section to allow for an option of an assistant secretary, assistant treasurer, expanded appointed positions, and an option for employees. The executive committee composition changed so that not more than one of whom may also be an elected officer of the chesapeake district of civitan international. An option was also added for an ex-officio nonvoting director emeritus. The bylaws were amended again on april 5, 2019 to define a quorum of the board of directors as follows: the presence of at least one third (1/3) of all directors shall constitute a quorum for the transaction of business at every meeting of the board. Presence shall mean in person or by proxy. The decision of a majority of the directors present shall be the official action of the foundation on all issues other than for the removal of a director, which shall require a two-thirds (2/3) vote. No director may cast more than one (1) vote, regardless of number of position(s) held, except when given a proxy or proxies.”

“The 990 form is prepared by an independent certified public accountant. The draft 990 is distributed to the board of directors of the foundation for review. Once approved, the president signs the 990 before it is filed.”

Special attention will be given to the education of these citizens and in research to determine the cause of their mental disabilities. To alert the general public to the urgent needs for special facilities and services for intellectually and developmentally disabled citizens. To promote programs and educational projects for the prevention of mental and physical disabilities. In order to finance the activities of the foundation, it will conduct functions and seek contributions through organized campaigns and other methods.”
