“Employees may have outside business interests and outside employment so long as these do not interfere with job performance or create apparent or actual conflict of interest. Employees may not earn profit from outside employment or a business that directly results from affiliation with the foundation. Likewise, trustees will regularly disclose any conflicts of interest regarding grantee organizations they are affiliated with or have a business relationship with. Trustees will recuse themselves from discussion and abstain from voting for grant awards to these organizations. When serving on an outside board, foundation employees must recuse themselves from discussion regarding funding from the foundation and furthermore must remove themselves from the room during such discussion. Before agreeing to serve on any outside board, the executive director must secure in advance the written approval of the board president.”
