The process for overseeing the audit of the financial statements and selection of an independent accountant that audited the financial statements has been consistent with prior years.

Financial Statement Notes

PART V, LINE 4:

The seed foundation has received $250,000 of a permanent endowment. Proceeds of earnings on original endowment amounts will be used for annual scholarship and award programs, as deemed consistent with the specific endowment purpose.

PART X, LINE 2:

The dc school, the md school, the foundation and the miami llc, a derivative of a disregarded entity since the foundation is the only single member, are exempt from federal and state income taxes under section 501(c)(3) of the internal revenue code (the code). In addition, the foundation has been determined by the internal revenue service not to be a private foundation within the meaning of the code. Income that is not related to exempt purposes, less applicable deductions, is subject to federal and state corporate income taxes. The foundation follows the accounting standard on accounting for uncertainty in income taxes, which addresses the determination of whether tax benefits claimed or expected to be claimed should be recorded in the consolidated financial statements. Under this guidance, the foundation may recognize the tax benefit from an uncertain tax position only if it is more likely than not that the tax position will be sustained upon examination by the taxing authorities based upon the technical merits of the position. The tax benefits recognized in the consolidated financial statements from such a position are measured based on the largest benefit that has a greater than 50% likelihood of being realized upon ultimate settlement. The guidance on accounting for uncertainty in income taxes also addresses de-recognition, classification, interest and penalties on income taxes and accounting in interim periods. Management evaluated the foundation's tax positions and concluded that the foundation has taken no uncertain positions that require adjustments to the consolidated financial statements to comply with the provisions of this guidance.

TO AMPLIFY THE IMPACT OF SEED'S EDUCATIONAL PROGRAM MODEL, CTS PRIORITIZES: (1) DELIVERING HIGH QUALITY COLLEGE TRANSITION ADVISING AND PROGRAMMING, (2) LEADING COLLEGE KNOWLEDGE CAPACITY BUILDING ACROSS SEED SCHOOLS, (3) SUPPORTING THE UNDERSTANDING AND USAGE OF COLLEGE SUCCESS DATA, AND(4) EXPANDING SEED'S COLLEGE SUCCESS EXPERTISE VIA OUR COLLEGE MATCHING TECHNOLOGY SOLUTION. AS A RESULT OF THE WORK OF THE CTS PROGRAM, BEST PRACTICES AND RESOURCES SUCH AS THE COLLEGE ACCESS & SUCCESS GUIDE, COLLEGE OUTREACH VISITS TO ALL SEED GRADUATES, AND THE REQUIRED ELEMENTS OF SEED'S COLLEGE KNOWLEDGE & ADVISING PILLAR HAVE BEEN CORE TO EXECUTING SEED'S MISSION. MOST NOTABLY, SEED'S ATTENTION TO THE KEY INDICATORS OF COLLEGE DEGREE ATTAINMENT AND CONSISTENT ENGAGEMENT WITH SEED GRADUATES HAS RESULTED IN THE DEVELOPMENT OF AN EVIDENCE-BASED COLLEGE MATCHING TIER SYSTEM. SEED STUDENTS WHO BEGIN THEIR COLLEGE JOURNEY AT "RIGHT FIT" INSTITUTIONS BASED ON OUR COLLEGE MATCHING TIER SYSTEM ARE EARNING COLLEGE DEGREES AT RATES OF NEARLY 68% WHICH IS MORE THAN 5 TIMES GREATER THAN THE NATIONAL AVERAGE FOR LOW INCOME, FIRST GENERATION AFRICAN AMERICAN AND LATINO STUDENTS. WITH MORE THAN 1,000 STUDENTS CURRENTLY ENROLLED AT SEED SCHOOLS AND 1,100 SEED GRADUATES ACROSS THE COUNTRY, THE CTS PROGRAM REMAINS COMMITTED TO DELIVERING HIGH QUALITY ADVISING, PROGRAMMING, AND CAPACITY BUILDING SERVICES.
