“Virginia commonwealth university health system authority ("vcuhsa") has the right to appoint two directors of the organizations board of directors. Vcuhsa has the exclusive power to remove a director appointed pursuant to this provision.”

“Vcu health system (vcuhs) has a conflict of interest policy that requires annual as well as ad hoc dislcosure of actual or potential conflicts. This policy applies to all team members with additional named responsibilities for those in a "position of trust" as defined by policy, or those key employees reported on internal revenue service (irs) form 990. Vcuhs is required to participate in the commonwealth's statement of economic interest process (soei). Vcuhs' participation in this process is mandated by the enabling legislation for vcuhs. Participation is required as stated above for those in a "position of trust". Additionally, employees are encouraged to contact the compliance helpline if they are aware of any violations of health system policy or have any compliance concerns. All concerns reported via this venue are investigated and appropriate remediation is implemented. When a voting board member has a conflict, the individual is prohibited from participating in the governing body's deliberations and decisions related to the conflicting transaction. In addition, any conflicted individuals are required to recuse themselves from any sourcing decisions related to their interest.”
