“Members.”

Part VI, Line 12C

“Annually the organization's conflict of interest policy is reviewed and updated to reflect changes during the course of the year. All Board members and staff are required to acknowledge that they have read and are in compliance with the policy. Any conflict of interest is disclosed by the Director of HR President or CFO to the Board who will make a determination whether the conflict is acceptable or not based on circumstances. Should a Board member have a conflict they are to physically excuse themselves from any discussions and decisions regarding the issue.”

“The President's salary is approved by the HSLDA Board Compensation Committee by reviewing comparability data and contemporaneous documentation from other nonprofit organizations. All other salaries are set by the President in cooperation with Human Resources which provides competitive market salary data obtained from external compensation surveys.”

“HSLDA Action has been recognized by the Internal Revenue Service as tax exempt under Section 501c4 of the Internal Revenue Code. The Organization follows the authoritative guidance relating to accounting for uncertainty in income taxes included in Financial Accounting Standards Board Accounting Standards Codification Topic 740 Income Taxes. Management evaluated the Organization's tax positions and concluded that the Organization has taken no uncertain tax positions that require adjustment to the financial statements to comply with the provisions of this guidance. The Organization files an annual informational return Forms 990 and 990-T in the U.S. federal jurisdiction. The Organization's tax returns are subject to examination by taxing authorities generally for a period of three years from the date the returns are filed.”
